Job Description - M&A Tax Professional




  • Involved in drafting and reviewing deliverables such as reports, proposals, advice, opinions, emails, presentations for clients.

  • Identification of the available restructuring options based on understanding of the commercial objectives of the proposed reorganization being contemplated by the management.

  • Responsible for identifying and highlighting issues involved in various engagements and present potential solutions.

  • Undertaking detailed fiscal and regulatory review of the proposed reorganization - this would involve evaluation of the various direct tax, company law, SEBI, FEMA, stamp duty, accounting and commercial implications of the available options.

  • Review of transaction documents such as business transfer agreement, share purchase agreement, subscription agreements, trust deeds, asset sale/purchase agreements, etc. Responsible for implementing the scheme of arrangement (merger/ demerger/ capital reduction/etc)

  • Actively involved in business development for the practice 




















Requirements



CA or LLB with 5 to 15 years experience



Manager to Partner level in his / her current organisation



Exclusive or substantial experience in Transaction / Mergers & Acquisition 



Passionate and self-motivated individual
