Role Overview

The Senior Executive – Legal will support the Exotel Legal team on commercial contracting, technology contracts, product terms and conditions, contract standardization and business advisory.

The role requires a lawyer with broad commercial-contracting experience who can draft and review agreements, identify material risks and work closely with business teams. The successful candidate should be comfortable working in a startup or high-growth environment, managing changing priorities and taking ownership of assigned matters.

Key Responsibilities

Commercial and Technology Contracts

• 
  
  
  
  • Draft, review and negotiate domestic and international commercial contracts, including master services agreements, SaaS and subscription agreements, service agreements, statements of work, order forms, non-disclosure agreements, addenda, reseller and partnership agreements, and procurement contracts.
  
  
  • Independently handle standard and repeat transactions and support senior members of the Legal team on complex contracts and negotiations.
  
  
  • Identify and escalate material legal and commercial risks in accordance with Exotel’s contracting standards, playbooks and approved positions.
  
  
  • Assist in creating, standardizing and periodically revising agreement templates, clause libraries, negotiation playbooks and contracting guidance.
  
  
  • Draft and update product and platform documentation, including online and clickwrap terms and conditions.
  
  
  • Support contract execution, repository maintenance and other contracting workflows.
  
  
  
  

Business and International Advisory

• 
  
  
  
  • Provide clear and practical contractual guidance to business stakeholders under the supervision of senior members of the Legal team, where required.
  
  
  • Support cross-border contracts and coordinate with local counsel or external advisers where jurisdiction-specific advice is required.
  
  
  • Conduct legal research and communicate findings in clear and concise language.
  
  
  
  

Dispute Support

  • Assist the Legal team, where required, with document collection, factual review and coordination relating to legal notices, contractual disputes or proceedings.
  
  
  
  

Candidate Profile

Mandatory Requirements

• 
  
  
  
  • LL.B. from a recognized university.
  
  
  • 3–4 years of relevant post-qualification experience, with broad exposure to commercial contracts.
  
  
  • Prior in-house experience in a startup or other high-growth environment.
  
  
  • Experience drafting and reviewing commercial agreements, with the ability to independently handle standard contracts.
  
  
  • Exposure to technology contracts, including SaaS, subscription, software, platform or technology-services agreements.
  
  
  • Experience assisting with the creation or revision of contract templates, playbooks or online terms and conditions.
  
  
  • Strong drafting, communication, organizational and legal-research skills.
  
  
  
  

Preferred Requirements

• 
  
  
  
  • LL.M. or another relevant postgraduate legal qualification.
  
  
  • Experience in a B2B technology, SaaS, telecommunications, CPaaS, CCaaS or services business.
  
  
  • Exposure to international commercial contracts.
  
  
  • Buy-side or procurement-contracting experience.
  
  
  • Exposure to litigation, contractual disputes or external-counsel coordination. This is an added advantage and not a mandatory requirement.
