An experienced corporate lawyer is required to join the Europe Team based in Amsterdam or Dublin. This proven leader, who will have excellent technical legal skills and strong business judgement, will also lead a corporate team of professionals. Reporting to the Chief of Staff & General Counsel Europe , h/she will provide legal advice and support to CRH’s Strategy and Development team for acquisitions, divestments and related transactions. The Deputy General Counsel M&A will have a proven ability to tackle both simple and complex legal challenges efficiently and pragmatically.

 

Key Tasks and Responsibilities

  • Support the Legal and Compliance team to establish and maintain culture, tone and consistency across CRH on legal and compliance matters
  • Provide legal advice and support to CRH Strategy and Development team for acquisitions, divestments and related transactions, and to CRH businesses across Europe and Asia as required
  • Support and work collaboratively across the global Legal and Compliance team to support the business, manage and mitigate legal risk, including outside M&A activities as might be required from time to time
  • Horizon scan in respect of legal developments and stakeholder requirements, and review and advise on pending and developing applicable law and how these affect CRH’s development activities
  • Develop and manage relationships with CRH external counsel
  • Support the legal team management with identification of KPI’s and initiatives to improve reporting quality to manage legal risk
  • Manage, develop and coach team to support their career development

 

Key Competencies

  • Excellent communication and influencing skills with a focus on solutions and a proven track record of providing business-focused legal advice
  • Demonstrated ability to advance large, complex projects with cross-functional stakeholders under tight deadlines
  • Proven expertise and experience in M&A activities, including
    • Working with development teams at the exploratory and preliminary stages of company and asset acquisitions - drafting and negotiating engagement letters, heads of terms, exclusivity agreements, confidentiality/non-disclosure agreements and advising in relation to transaction processes
    • Managing due diligence processes, including leading multi-jurisdictional teams and managing other lawyers, preparing due diligence questionnaires, reviewing data rooms, engaging in Q&A processes, identifying material issues, drafting and analysing due diligence reports and advising on materiality and acquisition risk
    • Drafting and negotiating transactions documents, including share purchase agreements, asset transfer agreements, transitional services agreements, disclosure letters and advising in relation to relevant protections, limitations and payment mechanisms
    • Managing cross-border signings and completions, both physical and virtual, ensuring requisite corporate authorities are in place, working with treasury and finance teams in relation to funds flow and attending to post-deal filings, clearances and returns
  • Openness to legal technology and contributing to developments to improve efficiency of processes within Legal and Compliance
  • Excellent interpersonal skills with an absolute commitment to talent development, teamwork, professionalism, collegiality, and communication
  • Curiosity with regard to the construction materials and products industry
  • Self-starter, who can work independently and make sound decisions under pressure
  • Hands-on, pragmatic and business minded, solutions oriented
  • Unquestioned integrity, judgment, resilience and a sense of humour
  • Ability to travel as frequently as may be required

 

Candidate Requirements

  • A qualified lawyer with 10 years+ experience in a large law firm or in-house legal team
  • BCL, LLB or equivalent law degree preferred
  • Broad legal experience across a range of issues
  • Experience managing junior colleagues and senior stakeholders preferred
  • Commitment to service delivery and problem solving a must
  • Fluent in business English
