Job Description - Senior Associate - Internal Corporate Secretarial Services

Summary: Waystone Internal Corporate Secretarial Services function will assist in the delivery of services (to include scheduling meetings, preparing board packs, preparing minutes, maintaining entity registers and records) to a diverse, complex portfolio of internal Waystone entities which includes ACDs Mancos, MiFID Firms, their respective sub-committees and other group entities across the globe. Reporting to the Director of Internal Corporate Secretarial they will aid in the delivering KPI’s and MI on a regular and consistent basis for management and helping to drive the implementation of a technology solution to underpin the business. The minimum expectation of the role is as set out below:-


 


ESSENTIAL DUTIES AND RESPONSIBILITIES


· Actively question methods and processes with the key to making the team more effective and efficient;


· Assist in the compilation and preparation of management information as and when required;


· Be able/willing to take on additional duties as and when required;


· Display an in-depth understanding of fund corporate governance practices and regulatory filing requirements and keep abreast of all regulatory changes.


· Display keen attention to detail and excellent communication skills;


· Ensure appropriate prioritisation of workload, identification of and escalation of scheduling conflicts and delays;


· Ensure client files and corporate records are maintained and updated appropriately;


· Follow current Waystone policies and procedures as set out in the Employee Handbook and/or develop additional policies as needed for jurisdiction specific.


· Independently liaise in a timely and professional manner with fund service providers and clients;


· Liaise professionally and effectively with management, entity boards and senior staff;


· Maintain and update corporate records (to include the use of Diligent Entities and Salesforce);


· Monitor and update task tracking schedule to ensure all assigned duties are completed within assigned deadlines;


· Organise board and committee meetings;


· Prepare board papers, board meeting documentation, attend and minute meetings;


· Prepare, finalise, and management of resolutions and other corporate documentation;


· Promote team building and communication within the organization to ensure cohesive approaches and organizational culture.


· Oversee the preparation of documents, board packs, minutes and resolutions by junior team members in order ensure appropriate standards are maintained.


 


 


REQUIREMENTS


 


Education:


· ICSA qualified or relevant Legal or Corporate Governance qualification.


· Bachelor’s degree in a related field is desirable.


 


Experience:


The ideal candidate will have at least three years’ company secretarial experience in the funds/financial sector, knowledge and understanding of the FCA and the obligations as a regulated entity. The Candidate will have completed at a minimum their grad ICSA qualification, be working towards same or have significant regulated industry knowledge. They will thrive in a fast-paced environment and should have experience supporting other team members. They should also have exceptional attention to detail and must be adept at building professional working relationships with senior management and clients.
