Galileo is looking for an Associate Legal Counsel to join our fast-growing team in Milan.
The Associate Legal Counsel will be based at our main office in Milan, reporting to the General Counsel of the Group, he/she will operate on a variety of M&A, corporate, compliance and commercial matters across the EU region to support the business of the Group in its expansions in the above market.
What you’ll do:
· Provide day-to-day support to the Legal&Compliance function.
· Coordinate the document final review and support the execution process.
· Carry out legal research to support the Legal&Compliance function.
· Participate and provide assistance in drafting and negotiating commercial contracts (e.g., intercompany, with clients, suppliers, partners).
· Support ordinary and extraordinary corporate activities (including M&A transactions);
· Reviewing contracts, policies and other legal documents ensuring compliance with the Group policies.
· Liaise with, and support, the Corporate Secretary of the Group in relation to different activities to be implemented across the companies of the Group.
· Support in the management of external advisers (e.g., lawyers, public notaries, translators, etc.) in a cost-effective way.
· Timely follow up to ensure documents are processed in a tidy and timely manner.
· Provide advice in relation to day-to-day topics (e.g., IT, privacy, compliance, labour);
· Work on ad-hoc cross-functional projects initiated by the company, interacting with all relevant team members within the Company.
· Collaborate with colleagues within the Legal & Compliance team on joint initiatives.
What you’ll need:
· A desire and a passion to contribute to the energy transition with a pan-European focus by joining a company looking to develop renewable projects across different markets.
· At least 2 years of previous work experience in primary law firms or companies in an international context. A university-level degree in law.
· Sound knowledge of European law and practice; familiarity with contracting scheme for energy projects would be a strong plus.
· Familiarity with corporate governance processes and regulations and capability to deal with corporate and contractual documentation.
· Good verbal and written communication skills, listening, influencing and presentation skills, ability to work and communicate in a diverse global organization.
· A pro-active attitude towards work in general.
· Team player, with cultural awareness and curiosity, willing to work with other functions and members of the Legal & Compliance team on joint initiatives.
· Proficiency-level Italian and English language skills, with skills in other European languages, considered an important plus.
· Good communication and interpersonal skills, discretion in treating with confidential information.
· Ability to mediate and assist in achieving consensus and in overcome bureaucratic thinking.
· Prior work experience in the energy industry will be considered a strong plus.
