About the Role Key to the role will be to ensure that the highest governance standards are being applied to entities and committees supported by the Fund Board Governance team. Working as part of a team, you will ensure that communications between the Boards and Committees and the business operate effectively and to the highest standards and that all applicable governance requirements are met and that standard company secretarial activities are completed in a timely and effective manner. Excellent communication and organisational skills are required as the role requires regular interaction with Board and Committee members and with senior executives within BlackRock. The successful candidate will interact with a wide range of departments within BlackRock to facilitate board reporting in areas such as investment and risk reporting, compliance and operations. The successful candidate will be expected to attend, manage and participate in Board and Committee meetings. Responsibilities Balance the business of a range of entities by crafting agendas, preparing and distributing Board packs, completing matters arising and minutes and monitoring Board delegations policies; Assist in ensuring that all terms of references are reviewed and updated (if required) on a regular basis; Building and maintaining excellent relationships with the Chairpersons and Directors of each entity for which you are responsible; Management of shareholder meetings where appropriate; Ensure that submissions are of a high standard and are suitable to provide to the Board and address key items; Assist in monitoring and updating Board and Committee diaries; Updating company records and preparing templates, as well as reviewing and drafting documents and procedures; Support the strong governance and control framework in place across BlackRock by adhering to the processes and procedures in place to meet all regulatory and statutory obligations; Proactively work to develop and improve various processes and controls in response to regulatory and industry changes, and as directed by the Boards and the business; and Provide input and advice to the business and directors with regard to Board governance matters; and Work to ensure the highest level of corporate governance is applied to all BlackRock companies; Experience Prior Company Secretary experience is required; Company Secretary qualifications are not a pre-requisite; Familiarity and experience with Diligent Entities is an advantage; Familiarity and experience with Diligent Boards software is an advantage; An understanding and interest in investment instruments and markets is a plus; and Knowledge of the regulatory and corporate environment for French and Luxembourg domiciled funds would be preferred, but is not essential. Skills & Attributes Ability to work in a fast-paced environment with flexibility to adapt to shifting time expectations; Highly organized individual, with attention to detail and excellent personal time management skills; Teammate with a willingness to help others; Excellent written and verbal communication skills; Ability to build positive connections across the business, operations and suppliers at all levels of management up to and including Board of Director level; Ability to make presentations in person or by conference calls; and Able to draft clear and detailed reports.
