We are seeking a dynamic and suitable qualified candidate with substantial experience in related areas to fill the Assistant Manager, Company Secretarial position.
MAJOR RESPONSIBILITIES:
- Assisting the Senior Manager in preparing statutory forms, annual returns, and all other forms following the Companies Act 2016 for submission to SSM via MyCoid, MBRS, and other SSM portals.
- Liaise with SSM and attend meetings with SSM officers.
- To undertake other administrative work as when directed.
- Assisting the Senior Manager in coordinating and attending meetings of the Board of Directors, board committees, and shareholders from time to time and ensuring that the board procedures are duly adhered to.
- Assisting the Senior Manager in preparing resolutions, minutes of meetings, board papers, committees, general meetings, and annual report (s).
- Ensure timely submission of board papers, statutory documents, and other relevant documents.
- Preparing and filing statutory forms with relevant authorities and maintaining and updating the register and minutes books.
- Provide secretarial support for all corporate exercises undertaken by the company and participate in any other meetings and/ or attend to the special corporate exercise as and when required including providing company secretarial-related information or advice to the parties involved.
- To liaise with the share registrar, auditors and local authorities such as Suruhanjaya Syarikat Malaysia on secretarial matters.
- To assume responsibility for other relevant tasks as assigned from time to time.
REQUIREMENTS:
- Candidate must possess at least a Bachelor’s Degree, Professional Degree, Master’s Degree, Corporate Secretarial; or equivalent.
- Possess a Practicing Certificate from SSM and a professional member from MAICSA/MACS/BAR/LS.
- Minimum 5 years of working experience in corporate secretarial function.
- Meticulous, good comprehension and analytical skills.
- Strong verbal and written communication with excellent command of English.
- Well-versed with Bursa Malaysia listing requirements, Companies Act 2016, Malaysian Code on Corporate Governance, and best practices in corporate secretarial-related matters.
