Legal Advisor

Introduction

To cater to our business expansions, DOO Group is in search for a Legal Advisor to join our growing team, together with our current talent forces to support the business strategy, goals and initiatives. This role is essential in providing legal guidance and support on a wide range of legal matters related to the company's operations.

Roles and Responsibilities:

Legal Compliance :

• Advise the company on legal requirements and regulations governing brokerage and trading activities, ensuring that the company operates within the bounds of the law.
• Review and analyze proposed business activities, transactions, and contracts to identify legal risks and ensure compliance with applicable laws and regulations.

Contract Review and Negotiation :

• Review, draft, and negotiate a variety of contracts and agreements, including client agreements, vendor contracts, partnership agreements, and employment contracts.
• Ensure that contracts accurately reflect the company's interests and comply with legal requirements.

Regulatory Matters :

• Monitor changes in securities laws, regulations, and industry standards to assess their impact on the company's operations.
• Provide guidance on regulatory filings, disclosures, and reporting requirements to ensure compliance with regulatory obligations.

Litigation and Dispute Resolution :

• Provide legal support in the event of disputes, litigation, or regulatory investigations involving the company.
• Collaborate with external legal counsel to develop legal strategies and represent the company's interests in legal proceedings, if necessary.

Corporate Governance :

• Advise on corporate governance matters, including board governance, shareholder rights, and compliance with corporate governance standards.
• Assist with the preparation of board resolutions, minutes, and other corporate documents.

Intellectual Property Protection :

• Identify and protect the company's intellectual property rights, including trademarks, copyrights, and trade secrets.
• Assist with trademark registrations, copyright filings, and intellectual property enforcement efforts.

General Legal Support :

• Provide general legal support and advice to various departments within the company, including finance, operations, human resources, and marketing.
• Address legal inquiries and provide timely guidance on legal issues as they arise.

Job Requirements

• A Degree from an accredited law school is typically required.
• In-depth knowledge of securities laws, regulations, and industry standards governing brokerage and trading activities, including regulations set forth by the relevant authorities and other regulatory bodies.
• Familiarity with relevant areas of law such as corporate law, contract law, regulatory compliance, and litigation.
• At least 5 years of experiences working in a legal capacity within the financial services industry, preferably in a brokerage or trading environment.
• Understanding of the operational aspects of brokerage and trading activities, including market regulations, trading platforms, and financial instruments.
• Strong analytical skills and attention to detail to assess legal risks, analyze complex legal issues, and develop effective solutions.
• Ability to anticipate legal issues and proactively address them to minimize legal exposure and mitigate risks.
• Excellent written and verbal communication skills to communicate legal concepts effectively to stakeholders at all levels of the organization.
• Proficiency in negotiating and drafting a variety of legal documents and agreements, including client contracts, vendor agreements, and regulatory filings.
• Ability to review and negotiate complex financial agreements and transactions while protecting the company's interests.
• Knowledge of regulatory compliance requirements applicable to brokerage and trading activities, including know your customer (KYC) procedures, anti-money laundering (AML) regulations, and securities reporting obligations.
• Experience developing and implementing compliance policies and procedures to ensure adherence to regulatory requirements.
• Ability to work effectively as part of a team and collaborate with colleagues across different departments.
• Leadership skills to provide guidance and mentorship to junior legal members.
