Penerangan Pekerjaan - Assistant Manager - Secretarial (Company Secretary)

JOB SUMMARY

Assist the Head of Group Secretarial in performing corporate secretarial duties and responsibilities to ensure internal and external customers satisfaction, compliance with the relevant regulations and high standards of corporate governance is practiced in the organization.

 

JOB DESCRIPTION

  • To prepare and circulate the Directors' Circular Resolutions and Circular Resolutions of Board Committees in order to obtain timely Board or Board Committee's approval.
  • To Organize and assist in pre and post board, shareholders and board committee, management meetings and to take minutes of meeting.
  • Manage Board and Shareholder matters, including organizing meetings, preparing agendas, recording minutes, drafting resolutions, and preparing board papers.
  • To provide secretarial support for corporate exercises including ensuring accuracy of the information in the documents and in compliance with statutory requirements.
  • To draft, review and verify corporate information for Annual Report purposes including arranging for the relevant reports/contents of Annual Report to be reviewed and approved by the Board and Board Committees (when required).
  • Liaise with Companies Commission of Malaysia (CCM), solicitors, auditors and other department within the Group to ensure all documents prepared area complied with the requirements.
  • Ensure compliance with the Companies Act 2016 and related laws, promoting best practices in corporate governance, and staying alert to compliance risks and corporate developments.
  • Oversee or provide guidance for subordinates in carrying out any task and ensure completion

 SKILLS & REQUIREMENTS:

Education and Qualifications:

  • Degree in related field (ICSA/Corporate Administration) or similar discipline.
  • Member of MAICSA or relevant professional bodies or license secretary by Suruhanjaya Syarikat Malaysia (SSM) would be an advantage.

Experience:

  • At least 2 – 5 years of experience in company secretarial and/or management roles.
  • Conversant in company law and company secretarial practice.
  • Experience in public listed or multinational companies is beneficial.

Skills & Personal Attributes:

  • Knowledge of the Companies Act 2016 and other relevant laws.
  • Good communication and interpersonal skills with the ability to interact with various levels of people and possess the ability to express him/herself clearly in both verbal and writing.
  • Independent, proactive, analytical and resourceful in carrying out the job given.
  • Strong problem-solving skills, detail oriented with the ability to understand multiple perspectives, identify and negotiate solutions across the organization.
  • Familiarity with company secretarial software, AI tools, and board portals.
  • Ability to work independently with minimal supervision.
  • Tech-savvy and forward-thinking.
  • Detail-oriented and responsible.
  • Good interpersonal skills, proactive, and cheerful.
  • Trustworthy, reliable, and has high integrity.
  • Passionate about governance and the profession.
