We are looking for a commercial contract and process expert with a legal background and experience to manage and mitigate risks with the best commercial outcome achieved for Eaton and our customers.\n\nCommercial contract, bidding process and regulatory risk management \u2014 assessing and managing commercial and legal risks relating to operations, strategic decisions and major transactions, with a focused experienced in B2B contracts with exposure to data center (DC) projects and/or industrial-related contracts. Proficiency in Bahasa Malaysia and/or Bahasa Indonesia is required for local language contract support.\n\nCommercial coordination and transaction support \u2014 works closely with Jimmy and the business teams on tenders, contractual review and negotiation, bidding process risk control, and accounts receivable negotiation and resolution. Coordinates with all relevant functions on commercial matters throughout the transaction lifecycle.\n\nA. Legal compliance and risk management - assessing legal risks relating to operations and strategic decisions. \nB. Development of effective compliance risk mitigation strategies, such as processes and controls to eliminate or mitigate identified compliance risks. \nC. Provide legal support and represent in commercial, legal and regulatory matters involving government agencies for all legal entities. \nD. Provide transactional, operational and contract support for assigned Eaton businesses and functions (HR, Sales, Supply Chain Management, Finance etc). \nE. Provide advice and counsel regarding good corporate governance and compliance with our Code of Ethics. \nF. Manage and resolution of litigation, labour, and other disputes. \nG. Works closely with business teams on tenders, Terms \u0026 Conditions, and contractual matters, including drafting NDAs. \nH. Involved in preparing and reviewing T\u0026Cs for major, large-scale projects, including commercial terms, liabilities, liquidated damages (LD) and overall commercial risk mitigation, ensuring full compliance with Eaton\u0027s standards. \nI. To be committed \u0026 responsible for Quality Management System: \na. Implement the process approach and risk-based thinking \nb. Provide the necessary support to fully implement and sustain the QMS \nc. Communicating to the organization the importance of conforming to QMS requirements \nd. Ensuring the QMS meets its goals \ne. Engage, direct, and support individuals contributing to the QMS \nf. Create a culture of continuous improvement\n\n## Qualifications:\n\nBachelor\u2019s degree, major in Law \nAt least 7 years of experience ideally with a multinational company in either Utilities, Industrial, Mining or FMCG within the APAC region. \n \n\n\n## Skills:\n\nExperience in a major law firm is also highly regarded. \nKnowledge of, or an ability quickly to learn, legal issues associated with anti-corruption/FCPA and government relations. \nFamiliarity and experience in these matters in other APAC countries would be ideal. \nPreferably experienced in B2B contracts, with a strong focus on contract review, negotiation and commercial risk management, including exposure to data center (DC) projects and/or industrial-related contracts.\n\nWe are committed to ensuring equal employment opportunities for job applicants and employees.
