Company Background

KIP Real Estate Investment Trust (“KIP REIT”) is a Malaysia-based real estate investment trust (REIT) established with the principal investment policy of investing, directly and indirectly, in a portfolio of income-producing real estate used primarily for retail purposes. The focus of its investments is towards community-centric retail centres.

KIP REIT was listed on the Main Market of Bursa Malaysia Securities Berhad on 6 February 2017 and its current portfolio consists of eight (8) community-centric malls strategically located in suburban areas across Peninsular Malaysia and three (3) industrial properties located at Pulau Indah, Klang and Selangor.

KIP REIT's manager is KIP REIT Management Sdn. Bhd., which is engaged in active asset management and enhancement strategies, acquisition growth strategies and capital and risk management strategies.

 

Qualifications and Personal Attributes

  •  At least second upper class in Bachelor of Laws degree (second lower class under University of London International Programme may be considered).
  • Admitted to the UK and/or Malaysian Bar.
  • Working experience of at least 1 to 3 years in general corporate and commercial laws either as an in-house legal counsel or with a reputable corporate law firm.
  • Strong background in corporate and commercial laws, and experiences in mergers and acquisitions, and/or banking and finance transactions will be advantageous.
  • Meticulous, diligent and attention to detail.
  •  Fluent in English and Bahasa Malaysia with the ability to draft legal documents and day-to-day correspondences clearly and concisely.
  • Strong analytical and problem-solving skills.
  • Solid time management and organisation skills.
  • Ability to thrive in a fast-paced environment and work independently with minimal supervision.
  • Able to prioritise workload and manage conflicting priorities to meet deadlines.
  • Possesses good working logic without requiring explicit instructions for routine matters.
  • Proficiency in basic legal procedures and common-sense approach.
  • Competency in interpersonal skills and collaborative attitude.

 

Job Description

Acquisitions and Financings

  • Comment, review, negotiate and finalise the sale and purchase agreements, tenancy agreements, lease agreements, facility agreements, security documents (e.g., guarantee, charge, debenture), non-disclosure and confidentiality agreements, letters of intent, letters of offer, memoranda of understanding, term sheets, and etc. for high value transactions.
  • Comment, review, negotiate and finalise the legal diligence planning memorandum.
  • Attend to, manage and follow up the legal due diligence request list and legal due diligence questionnaires.
  • Attend to, manage and follow up on the fulfilment of the conditions precedent and conditions subsequent in the acquisition and financing documents.
  • Assist in all the matters arising out of or in connection with the acquisitions and financings.

Commercial Contracts

  • Draft, prepare, comment, review, negotiate and finalise commercial contracts, agreements, documents, letters and correspondences in a timely manner.
  • Assist with contractual queries from other business departments, which include, without limitation, contract review and research, risk assessments, risk mitigation and preparation of advice and reports.
  • Provide practical and efficient legal comments and suggestions regarding risk management.
  • Take the initiative, collaborate and work with other business departments to resolve problems and matters that have an impact on REIT’s operation by providing solutions that are both logically sound and legally appropriate.
  • Develop and implement the contract management process, which includes, without limitation, the contract process, workflow, stakeholder guidelines and templates.

Litigation

  • Handle pre-litigation legal disputes and enquiries and monitor the progress of the litigation cases.
  • Where external lawyers are appointed, to manage the engagement, oversee the quality of work and effective delivery of legal support.

Compliance

  • Draft, prepare, comment, review and finalise the compliance policies and any documents required for the compliance of data privacy, anti-corruption, anti-bribery and industrial regulations.
  • Identify and analyse compliance risks, with a focus on anti-corruption and anti-bribery, as well as carrying out measures to monitor and mitigate risks.
  • Develop and continuously review the organisation’s regulatory and compliance process, standards and controls to ensure they remain up-to-date and meet current statutory and regulatory requirements.
  • Design, conduct and deliver trainings on compliance topics to improve adherence to data privacy, anti-corruption, anti-bribery and industrial regulation and regulatory process.

General

  • Report directly to the Assistant Legal Manager of the Legal and Compliance Department.
  • Undertake duties as and when assigned by the Head of the Legal and Compliance Department and/or the management of KIP REIT.
