Senior Legal Counsel

Company Overview:

Crewstone International Private Equity and Investments is a leading private equity firm specializing in private credit, venture debt, and private equity transactions. We are seeking a highly experienced Senior Legal Counsel to oversee the legal aspects of our private debt, moneylending, and private equity transactions. The successful candidate will ensure legal compliance across all fund activities and transactions, providing expert advice and solutions to complex legal matters.

Key Responsibilities:

Business Transactions:

• Legal Advisory: Provide expert legal advice on business transactions, including structuring, documentation, compliance with regulations governing the business activities of the company and licensing matters.
• Documentation & Negotiation: Draft, negotiate, and review contract agreements, security documents, term sheets, and other legal documents.
• Compliance Oversight: Ensure all business activities comply with applicable regulatory requirements, including licensing and reporting obligations.
• Deal Execution: Support the execution of private credit transactions, overseeing legal due diligence and ensuring all necessary agreements are in place.

Private Equity Transactions:

• Fund Structuring: Advise on the relevant laws and regulations in the aspects of private equity funds and its compliance.
• Legal Drafting: Prepare, draft and negotiate key transaction documents, including Information Memorandum (IM), Limited Partnership Agreements (LPA), Subscription Agreements (SA), and Investment Management Agreements (IMA).
• Legal Review: Oversee legal documents for portfolio companies and ensure alignment with corporate governance, securities regulations, and tax laws.

General Legal Advisory & Compliance:

• Strategic Counsel: Serve as a strategic advisor to senior management on legal risks, regulatory matters, and transaction structures, with a focus on protecting the firms interests.
• Regulatory Updates: Monitor and stay informed of legal developments affecting private equity and private debt transactions and licenses held by the Company, ensuring proactive compliance with evolving regulations.
• External Liaison: Work closely with external counsel, regulatory bodies, and auditors to ensure comprehensive legal coverage across all investments and transactions.

Merges & Acquisitions (M&A):

• Transactional Leadership: Lead domestic and cross-border M&A transactions, including drafting and negotiating acquisition agreements, shareholder rights, and post-merger integration.
• Risk & Compliance Management: Conduct thorough risk assessments and ensure compliance with legal and regulatory requirements in all M&A activities.

Corporate Governance & Contract Management:

• Governance & Fiduciary Duties: Advise on corporate governance matters, including compliance with fiduciary duties, shareholder rights, and board responsibilities.
• Contract Review: Provide legal review and interpretation of all contracts related to debt financing, equity investments, and corporate matters, ensuring they meet the firms business objectives.

Licensing Compliance and Management

• Compliance: Ensure continuous compliance with the relevant laws, regulations and guidelines for the licenses held by the Company
• Application: Manage the application process for new licenses such as moneylending licenses when the Companys needs arises and ensure ongoing compliance
• Record keeping: Maintain accurate records and documentation related to licensed activities
• Reporting obligations: Attend to reporting obligations to ensure the Company complies with the relevant laws and regulations governing license holders.

Qualifications:

• Education: Law degree and professional legal qualifications.
• Experience: Extensive post-qualification experience as an in-house counsel or in a top-tier law firm, with a strong focus on private debt, moneylending, and private equity transactions.
• Regulatory Expertise: Deep understanding of local and international financial regulations, licensing application, corporate governance, and compliance frameworks.
• Skills: Exceptional drafting, negotiation, and communication skills, with the ability to translate complex legal issues into clear, actionable advice for non-legal stakeholders.
• Languages: Fluency in written and spoken English is required; Mandarin proficiency is an added advantage.
• Commercial Awareness: Ability to align legal solutions with business drivers and commercial intentions, with strong influencing and facilitation skills.
