Formed in 2021 through the merger of NaGa Solar with the existing Ampyr Energy UK solar joint venture between AGP Group and Hartree Partners, the company is now going through a major brand transformation, unifying under a single brand, AMPYR Solar Europe (ASE). Active in Germany, the Netherlands and the UK, ASE is transitioning from the Development of solar projects to Construction and Asset Operations.
In this challenging and dynamic role you will work in a small team with a focus on the Dutch market, with support from ASE’s international team. Together with the Head of Legal in the Netherlands, you will be closely involved from A to Z in all phases of ASE’s Dutch solar PV projects. This includes activities such as drawing up and negotiating land option agreements (both purchase and right of superficies), anterior agreements, assistance with permit applications, energy cooperation agreements, shareholder agreements, EPC (building) agreements, O&M agreements, and (corporate) power purchase agreements. You will also be involved in project financing related legal matters as well as the occasional M&A transaction acquiring suitable projects at various stages of development.
As a legal counsel at ASE, you will work in a wide range of legal matters including:
1. Contract Drafting and Negotiation : Draft, negotiate and review (independently or with outside legal counsel) a variety of contracts essential to utility-scale solar development, construction and operation, ensuring ASE’s projects are legally sound and compliant.
2. Provide Legal Guidance : Manage legal processes for ASE’s solar PV projects in the Netherlands
3. Risk Management : Identify potential legal risks and develop strategies to mitigate them, protecting the interests of the company
4. Collaboration : Collaborate with cross-functional teams, including project managers, engineers, and finance professionals within the Netherlands, UK, Germany and Asia, to provide legal expertise and support to ongoing solar development projects.
5. Know-how: Help create procedures and building a knowledge base that will drive the evolution of best practice to deliver a competitive edge
Minimum of 4 years of experience within a top-tier law firm and/or corporate / real estate legal department.
Substantial experience drafting, reviewing, and negotiating real estate agreements
Master’s degree in law in the Netherlands in a relevant area of expertise
Affinity with technical and financial feasibility of projects and an understanding of key factors required to develop a viable project
A general understanding of the relevant planning processes
Strong negotiation, influencing, and commercial skills
Excellent communication skills and the ability to engage with a wide range of stakeholders from diverse backgrounds
Flexible, creative, and entrepreneurial with positive attitude and ability to perform under pressure
Self-driven with the ability to work independently as well as in a team
Spoken and written fluency in Dutch and English
