Legal Counsel - NL

OnLogic’s Legal team is seeking a Transactional Lawyer for its European team in Oosterhout, the Netherlands, with 5-8 years of post-qualified experience in commercial technology contract negotiations. This role will include responsibility for drafting, reviewing and negotiating complex agreements for the provision of computer systems and services to customers. The role will focus on supporting OnLogic teams in the Netherlands, Germany, and the UK. 

Our customers include many, if not most, of the largest companies in the world, such as original equipment manufacturers, integrators and distribution companies, and public sector/governmental entities. This role will also involve executing on projects designed to improve business impact, mitigate legal and regulatory risk, and enabling OnLogic to best serve its customers. The lawyer will report directly to OnLogic’s General Counsel (based in the United States) and will work closely with our EU leadership team to provide both legal and business guidance in support of strategic business development activities, ongoing customer relationship management and other key Initiatives.

On an average day, you'll…

• Negotiate agreements for the provision of computer systems and related services.
• Support the business development processes by providing key inputs and advice.
• Advise OnLogic’s functional and management teams on technology, local regulatory, corporate and business law issues.
• Support broader enterprise business requirements, including corporate acquisitions, strategic partnerships and vendor relationships, as applicable.
• Work in a global, fast-paced and business-oriented environment.
• Demonstrate strong commercial judgment, analytical abilities and communication skills.

The team you will be joining

Our legal team negotiates fair and reasonable terms with our customers and suppliers, ensures our compliance with all relevant laws, statutes, and international rules, files trademark and patent applications, and assists in many other business functions to facilitate adherence to relevant legal standards. The legal department works with all areas of the business to create, review and maintain processes that ensure our interactions with customers, vendors and each other are at the highest legal standards and that we avoid taking unnecessary legal risks.

• Qualified in the EU, with a minimum of 5 - 8 years of post-qualified experience, preferably at a major law firm (secondment experience a plus) or in-house within a technology company.
• Understanding of Dutch, German, and UK principles on product warranty claims, indemnification requirements, and limitation of liability in the context of B2B transactions.
• Background in technology contracts negotiation and commercial technology transactions, preferably with experience in computer technology, SaaS agreements, market data and intellectual property related matters, data privacy and/or technology outsourcings and related regulatory considerations. 
• You are fluent in English and Dutch, German is a plus.
• You are willing to travel alongside our sales team one to two days a week outside of the office.

Who we're looking for

• You are able to quickly learn business requirements, analyze legal and commercial risks, and propose creative, business-oriented solutions.
• You are adept at learning and effectively using contract management systems, developing contract workflows, and enhancing contract efficiency (prior experience with Ironclad is a plus).
• You are capable of independently managing a varied and broad portfolio of client transactions effectively, demonstrating strong judgment, time management, and prioritization skills.
• You are confident interacting directly with senior internal business stakeholders and subject matter experts to address the needs of a growing global business in a thoughtful and practical manner.

The salary range for this role is €6.500  to €9.500 per month. We determine final compensation based on conversations with applicants and their experience in similar roles. Besides a base salary we will offer you a comprehensive benefits package which includes:
