We are looking for a Legal and Governance counsel to join our team for a fixed term contract – finishing in March 2026.

The aim of this position is to guarantee the provision of proficient legal and governance guidance and assistance that are in harmony with the strategic goals of the Bank, the objectives of the CEO, and the requirements of the Board. This role will ensure that the Executive Leadership Team (ELT) is effectively supported in their interactions with the Board and that the Board functions in a manner that is both efficient and compliant.

The specific areas of responsibility include:

• Offering strategic governance and regulatory counsel to the CEO, the Board, the Chair, and the organization as needed, and assisting the AGC in implementing governance improvement projects and offering pertinent legal counsel.
• Overseeing the Board's operational processes and schedules, including making sure it possesses the necessary governance frameworks, controls, and operational systems that are understood and operate efficiently.
• Implementing a strategic plan for Board engagement that is in line with the organization's strategic objectives and TSB's regulatory obligations. This includes the maintenance and enhancement of essential governance documents, such as the Board manual and related processes and procedures
• Creating and updating the Delegations framework, which includes providing training and guidance to ensure TSB employees understand their responsibilities and how to delegate tasks.
• Assisting the Legal Customer & Product Team by offering legal advice on governance matters as allowed, collaborating closely with the AGC Legal – Customer & Product team when necessary.
• Organizing, executing, and filing required regulatory reports, securing regulatory approvals, and supporting TSB in keeping corporate registrations current.
• Responsible for the daily management of governance tasks and guidance for all activities related to the Board Encompassing but not limited to:
• organizing and coordinating meetings, logistics, and meeting agendas (with support from Governance EA)
• preparing and distributing meeting agendas and documents (with support from Governance EA)
• creating, reviewing, and distributing meeting minutes
• managing records in accordance with regulatory standards (with support from Governance EA)
• ensuring that the Board and committee charters, as well as the company's constitution and any relevant policies, are adhered to
• overseeing the Document Hierarchy and managing Board Policies and Standards

Your experience will include: 

• 5+ years’ experience in a legal and/or governance field, with in-house an advantage.
• A Bachelor of Laws degree (LLB), or other similar relevant qualification, and hold a current NZ practicing certificate.
• Previous work experiencewithin a corporate environment, ideally within financial services. Experience in banking environment is highly desirable.
• Exceptional communication skills both written and verbal, with demonstrated ability to influence and sound problem-solving capability.
• Broad technical experience and a proven ability to provide sound advice across governance and legal matters
