The position entails ensuring the provision of full legal services (including corporate governance and housekeeping) and providing legal support to the various functions and transactions of the Company, and, in the case of Senior Counsel, supervising, Legal Counsel directly performing such services.
The employee is primarily a legal resource person, either directly or through other counsel/external counsel, in various activities of and support areas, including, among others, contracting, contract administration, dealings with contractors and subcontractors, procurement, marketing, compliance with laws and regulations of general and special applications, representations with government agencies, taxation, labor standards and industrial relations, and implementation of Company policies, rules and regulations.
In the case of Senior Counsel, the employee ensures that Legal Counsel are adopting best practices and exercising due care and prudence in performing their functions, in view of preserving or pursuing the interests of the Company, in an effective and cost-efficient manner.
Depending on the matter being handled, a successful execution contributes to the attainment of underlying Company objectives while ensuring that the Company and its officers are insulated or protected from potential or threatened civil, administrative, or criminal liabilities.
Errors despite due care may result in the failure of the Company to carry out the intended activity (hence, may result in losses or lost opportunities), exposure of the Company and its officers to civil, administrative and criminal liabilities, and negative impact on Company reputation
Provide timely legal advice, including legal protection and risk management advice, in all aspects of operations and business development that benefit from it, including, but not limited to, procurement, contract management, marketing, transactional documentation, doing-business research, acquisitions and corporate policies and procedures (including those pertaining to corporate governance and housekeeping).
Provide/interpret legal information and documentation in relation to operations and business development.
Keep abreast of developments in laws, jurisprudence, and other aspects of legal practice.
Ensure that opinions, draft contracts, draft documentation and provision of legal assistance follow best practices, consistent with established position, objectives, and strategy.
Provide legal support during meetings, negotiations, and other representations with external parties, including government agencies, the market and systems operator, and customers.
Minimum Qualifications:
Bachelor’s degree in any 4-year course; Post-graduate study in Law or Juris Doctor
Minimum Experience:
For Legal Counsel: At least 3 years experience in general law practice, corporate counseling, labor standards and industrial relations practice, or tax counseling; at least 1 year experience in energy, public utility, or similar industries
For Senior Counsel: At least 6 years experience in general law practice, corporate counseling, labor standards and industrial relations practice, or tax counseling; at least 3 years experience in energy, public utility, or similar industries
For both: Familiarity with the functions and procedures of the Energy Regulatory Commission, Department of Energy, Department of Labor and Employment, National Labor Relations Commission, Securities and Exchange Commission, and other agencies with which representations have to be made.
