Overview
We are seeking a skilled Junior Contracts Attorney to join our legal team. The successful candidate will be responsible for drafting, reviewing, and negotiating a variety of legal documents, including Master Services Agreements (MSAs), Business Associate Agreements (BAAs), Data Protection Agreements (DPAs) and Non-Disclosure Agreements (NDAs). Proficiency in Microsoft Word, Adobe PDF software, and Contract Management systems is essential.
Key Responsibilities
Draft, review, and negotiate Master Services Agreements, Non-Disclosure Agreements, and other commercial contracts.
Utilize Microsoft Word for advanced document formatting, redlining, and version control.
Manage and edit documents using Adobe PDF software, ensuring security and compliance.
Administer contracts through the Contract Management system, overseeing the entire contract lifecycle from initiation to execution and storage.
Collaborate with internal teams to ensure contract terms align with business objectives and compliance requirements.
Identify and mitigate legal and business risks in contract terms and conditions.
Maintain organized records of contracts and related documents, ensuring easy retrieval and audit readiness.
Assist in the development and maintenance of contract templates and playbooks.
Support the legal team in various projects and initiatives as needed.
Required Qualifications
Juris Doctor (J.D.) from an accredited law school.
1-3 years of experience in contract drafting and negotiation, either in-house or at a law firm.
Proficiency in Microsoft Word, including advanced document editing and formatting.
Proficiency in Adobe PDF software for document management and editing.
Experience with Contract Management systems and processes.
Strong analytical, drafting, and negotiation skills.
Excellent written and verbal communication skills.
Ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
Preferred Qualifications
Experience with additional types of commercial agreements.
Familiarity with Health Law, State Privacy Law and Contract Law.
Experience in a corporate legal department or similar environment.
Tools and Systems
Microsoft Word (advanced proficiency required).
Adobe PDF software (advanced proficiency required).
Contract Management platform(s) (Salesforce, and other proprietary software).
Document management and collaboration tools.
