Job Description - Company Secretary

An international financial services and compliance practice is seeking an experienced Company Secretary for their Legal & Compliance department. This full -time, permanent role (07h00–16h00, Monday to Friday, with some lunchtime flexibility) is ideal for a professional who thrives in a structured, fast -paced environment.

You will support senior leadership, ensuring governance, statutory compliance, and regulatory filings across multiple African jurisdictions, while gaining exposure to compliance and legal administration for ongoing professional growth.


Responsibilities:


Company Secretarial Duties:
  • Organise and manage board and committee meetings, including agendas, board packs, and minutes.
  • Maintain statutory books, registers, and corporate records.
  • Ensure compliance with statutory and regulatory requirements, including filings across Sub -Saharan Africa.
  • Manage director onboarding and resignation processes, ensuring accurate filings.
  • Maintain business licenses, registrations, and external applications, tracking expiry dates for timely renewals.
  • Coordinate annual returns, audited financial statements, and other governance submissions.
  • Oversee insurance and asset registers, renewals, and engagement with external service providers.

Corporate Governance:
  • Conduct governance health checks and support implementation of governance standards.
  • Monitor compliance frameworks, internal policies, and changes in legislation.
  • Support development of governance and compliance training materials for staff.
  • Assist with audit processes and provide governance reports for executive committees.

Legal & Administrative Support:
  • Conduct legal research and prepare summaries, analyses, and reports.
  • Support drafting and compilation of legal documents, resolutions, and templates.
  • Maintain secure legal filing systems and documentation.
  • Manage department calendars, schedule meetings, travel, and administrative correspondence.


Requirements

  • LLB, BCom Law, or BA Law degree required.
  • Governance -related qualification advantageous (Chartered Governance, Paralegal, or Company Secretarial diploma).
  • Minimum 4+ years’ experience in Company Secretarial, Corporate Governance, or legal support roles, preferably in a multinational or regulated organisation.
  • Experience working across multiple African jurisdictions beneficial; listed company experience is advantageous.
  • Strong knowledge of corporate law, governance principles, statutory compliance, and recordkeeping.
  • High proficiency in MS Office, document management systems, and digital governance tools.
  • Exceptional attention to detail, organisational skills, and ability to manage multiple deadlines.
  • Strong interpersonal skills, integrity, and discretion in handling confidential information.
  • Must have a valid passport for occasional travel across Africa.
