Job Description - Junior Company Secretary Associate

Climate Fund Managers (CFM) is a leading climate-centric blended finance fund manager. We raise and deploy climate finance funds in partnership at scale and at pace. Through its award-winning model, CFM has created a blueprint for a new generation of climate financiers, whose collective impact can help end the climate crisis. CFM currently manages two emerging market infrastructure funds focused on climate change mitigation and adaptation: Climate Investor One, a c. USD 1 billion fund focused on renewable energy, and Climate Investor Two, a c. USD 1 billion fund focused on water, sanitation and oceans infrastructure.



Established in 2015, CFM is a joint venture between the Dutch Development Bank, FMO, and Sanlam InfraWorks, part of the Sanlam Group of South Africa with offices in The Hague, Cape Town, Windhoek, Singapore and Bogota.



Job Purpose 


The Junior Company Secretary will be a motivated and detail-oriented professional, supporting the corporate governance and compliance requirements of our asset management business. The role provides exposure to board processes, regulatory reporting, and fund structures, while offering a strong career development pathway within governance and company secretarial practice.



Key Duties and Responsibilities


Board & Committee Support



  • Assist in the preparation and circulation of board and committee packs.

  • Take minutes of meetings and follow up on action items.

  • Maintain the annual calendar of board/committee meetings.


 


Statutory & Regulatory Compliance



  • Maintain statutory registers and company records across group entities.

  • Assist with filings at the Companies Registry (e.g., CIPC/Companies House) and with regulators where required.

  • Support compliance with the Companies Act, financial services regulations, and asset management/fund governance requirements.


 


Corporate Governance



  • Support the implementation of governance frameworks and policies.

  • Assist with director onboarding and training.

  • Conduct research on evolving governance and regulatory requirements.



Entity & Fund Administration



  • Coordinate incorporation of new entities and changes to existing structures.

  • Support documentation and record-keeping for funds, trusts, and SPVs.

  • Liaise with external legal advisers, auditors, and service providers.



General Support



  • Maintain an organised filing system (electronic and physical).

  • Provide administrative and project support to the Company Secretary and senior governance team.



Qualifications, Skills and Experience



  • Degree in Law, Finance, Governance, or related discipline.

  • Progress toward or interest in studying for the Chartered Governance Institute (ICSA/CGISA) qualification.

  • 1–2 years’ experience in a company secretarial, legal, compliance, or governance role (internship experience considered).

  • Strong understanding of corporate governance principles and company law.

  • Exposure to asset management, financial services, or fund structures is desirable.

  • Experience working with multiple entities, SPVs, or cross-border jurisdictions is desirable.

  • Excellent verbal and written communication skills.



  • Highly organised, structured, and logical thinker with the ability to think laterally.

  • Collaborative team player with exceptional interpersonal and influencing skills.

  • Strong organisational and administrative skills with attention to detail.

  • Proactive, resourceful, and eager to learn.

  • Proficient in MS Office (Word, Excel, PowerPoint) and comfortable with board portal software.
