Join Rewardsco as our Legal & Company Secretarial Specialist, where you will play a key role in shaping sound commercial decisions, protecting business interests, and driving governance excellence across the Group.
In this dynamic role, you will partner closely with executives and functional leaders to provide commercially focused legal guidance, oversee the full contract lifecycle, and ensure effective risk management and compliance. You will also lead the Company Secretarial function, advising the Executive Forum and Board on regulatory developments, strengthening governance frameworks, and ensuring alignment with the Companies Act 71 of 2008.

Key Responsibilities:
Legal and Contract Management
Manage the full contract lifecycle, including drafting, reviewing, negotiating, and maintaining commercial agreements
Ensure commercial and risk mitigation clauses are appropriately incorporated into all contracts
Maintain contract registers, approval workflows, and contract status reporting
Ensure compliance with internal contract approval policies and governance standards
Provide legal guidance and advisory support to Executives and functional heads
Conduct contract risk assessments and recommend mitigation measures
Develop and maintain standard contract templates and approved clause libraries
Support audits, due diligence processes, and legal record management
Corporate Governance & Company Secretarial Support
Lead and support the Company Secretarial function across the Rewardsco Group of Companies
Ensure compliance with the Companies Act 71 of 2008 and other applicable regulatory requirements
Maintain statutory registers, company records, and governance documentation
Coordinate Board and Committee meetings, including agendas, meeting packs, minutes, and resolutions
Ensure all statutory returns, disclosures, and regulatory filings are submitted on time
Monitor changes in the regulatory environment and provide impact assessments and recommendations
Prepare governance reports, compliance updates, and quarterly risk reports for Executives and the Board
Support the continuous improvement of legal and governance processes
Requirements
Degree in Law, Corporate Governance, or related field
Minimum of 5 years’ experience within a corporate legal administration environment
Demonstrable experience performance company secretarial duties
Experience within the Financial Services industry is advantageous
Strong knowledge of company secretarial practices and statutory compliance requirements
Sound understanding of the Companies Act 71 of 2008 of South Africa
Strong understanding of contract management and legal administrative processes
Knowledge of the Financial Services regulatory environment, particularly the FAIS Act, will be advantageous
Advanced proficiency in Microsoft Office Suite and electronic document management systems.
