Transaction Structuring Lead

Malander is seeking an immediately available, experienced Transaction Structuring professional to lead the structuring of a material capital transaction, from strategic concept through commercial alignment, financing, and investor engagement. This is a senior advisory role within a multidisciplinary transaction team. 

About the Role

You'll take a leading role in shaping the transaction's structure and supporting high-level negotiations, integrating ownership, funding, governance, regulatory, and counterparty considerations into an executable framework.



Key Responsibilities:

• Determining the optimal transaction and financial structure, including ownership, consideration, and funding alternatives


• Evaluating alternative ownership, financing, and structured solutions and their impact on transaction economics


• Coordinating closely with the financial modelling workstream to test structural alternatives and investment outcomes


• Developing high-level operating and governance architecture, decision rights, and key commercial provisions for definitive agreements


• Coordinating regulatory and cross-border compliance considerations with legal and specialist advisers


• Supporting counterparty negotiations, term-sheet development, counterproposals, senior stakeholder workshops, and strategic capital engagement

What You'll Need

• Non-negotiable: direct, material oil and gas transaction experience, with evidenced senior structuring or project-finance delivery in oil and gas/energy — ideally involving large capital projects, infrastructure, ownership, and funding structures, or comparable complex transactions


• Senior experience in transaction structuring, corporate finance, project finance, or investment banking on complex, capital-intensive transactions


• Strong command of ownership, financing, governance, risk allocation, and structured solutions


• Ability to bridge finance, legal, commercial, and operating workstreams, converting analysis into executable transaction terms


• Established credibility with boards, investors, financiers, regulators, legal advisers, and senior counterparties, including hands-on negotiation and term-sheet experience

Availability Requirement

• Non-negotiable: availability for recurring international travel, with a minimum of five working days per month on site in the project country.
