Legal Counsel – Shipping and Commodities

Position overview


An established international trading company is seeking an experienced Legal Counsel to support its global commodity trading, shipping and logistics activities.


The successful candidate will provide commercially focused legal advice across physical commodity transactions, charterparties, transportation arrangements and related disputes. Working closely with traders, operators, credit, compliance and senior management, the Legal Counsel will help the business manage legal risk while enabling transactions to proceed efficiently.


This position would suit an England and Wales-qualified lawyer with strong experience in shipping, international trade or physical commodities and the ability to work effectively in a fast-paced commercial environment.


Key responsibilities


Commodity trading




  • Draft, review and negotiate contracts for the international sale and purchase of physical commodities.




  • Advise on contractual matters involving pricing, delivery, title, risk, payment terms, quality and quantity claims.




  • Support transactions involving energy, agricultural, metals or other physical commodity products.




  • Advise traders and operators on contract performance, non-performance and potential exposure.




  • Review master agreements, framework agreements, general terms and bespoke trading contracts.




  • Provide legal guidance on Incoterms, documentary requirements, letters of credit and trade-finance structures.




  • Support the development and implementation of standard contractual terms and trading procedures.




Shipping and logistics




  • Draft, review and negotiate voyage and time charterparties, contracts of affreightment and other vessel-employment agreements.




  • Advise on bills of lading, letters of indemnity, terminal agreements, storage contracts and logistics arrangements.




  • Handle matters involving demurrage, detention, laytime, cargo damage, contamination, shortages and delivery disputes.




  • Advise on vessel nominations, port restrictions, freight obligations and operational shipping issues.




  • Support relationships with shipowners, charterers, brokers, freight forwarders, terminals and other service providers.




  • Provide practical legal advice to shipping and operations teams during the execution of physical trades.




Disputes and risk management




  • Manage and resolve trading, shipping and contractual disputes.




  • Work with external counsel, insurers, P&I clubs, surveyors and technical experts.




  • Support arbitration, litigation, mediation and settlement negotiations.




  • Advise on dispute strategy, evidence preservation and potential financial exposure.




  • Monitor legal developments affecting international trade, shipping and commodity markets.




  • Identify contractual and operational risks and recommend practical mitigation measures.




Experience and qualifications




  • Qualified solicitor in England and Wales with a current practising certificate or eligibility to obtain one.




  • Approximately 1–10 years of post-qualification experience gained in a recognised law firm, trading company, shipping business or similar international environment.




  • Strong experience in shipping law, international trade or physical commodity trading.




  • Practical knowledge of English-law sale contracts and charterparties.




  • Experience managing shipping, cargo or commodity-related disputes.




  • Excellent drafting, negotiation and analytical skills.




  • Ability to provide clear, pragmatic and commercially relevant advice.




  • Professional fluency in English.
