Our client, headquartered in Fribourg, is urgently looking for a Paralegal for a 6 months CDD.
The job is fulltime and 100% onsite. 4 weeks of international planned travel per year to Europe and Africa (pro rated) is to be expected.
As Paralegal, you will be responsible for the centralization, operational coordination, and administrative management of the group's entities. You will support corporate governance activities, ensure compliance with legal and regulatory obligations, and provide legal support to internal teams in a multinational environment.
This role contributes to the effective management of the group's portfolio of companies (Entity Management) and the reliability of the group's legal information.
Tasks
Main Responsibilities:
Corporate Governance and Management of Corporate Bodies
Board of Directors support
Shareholders' General Meetings
Board Committees
Prepare governance documents:
Meetings Minutes
Agendas
Board Packs
Draft and finalize minutes and resolutions.
Coordinate the validation and signing processes for documents (directors, shareholders, executives).
Ensure the maintenance of corporate registers, in accordance with legal requirements.
Maintain up-to-date documentation related to the Group's governance.
Depending on the needs and legal resources of the various entities, the Company Paralegal's involvement may vary. However, they retain a central role in coordinating and centralizing legal and corporate information across the Group.
Entity Management (Portfolio Management)
Ensure the administrative and legal management of the Group's entities in multiple jurisdictions.
Prepare and coordinate the following operations:
Company formation
Dissolution or liquidation
Amendments to articles of association
Changes in shareholding
Changes of directors or officers
Transfers of registered office
Internal restructurings
Ensure coordination with external advisors, notaries, and corporate service providers.
Supervise filings and formalities with the commercial registers and relevant authorities.
Maintain a centralized database of the group's legal entities.
Legal Document Management and Data Governance
Manage centralized legal archiving (physical and electronic).
Keep corporate databases up to date:
Information on entities
Directors and officers
Shareholding
Ensure the traceability and reliability of legal documents.
Guarantee the availability of legal information for internal departments.
Support for Legal Operations and Corporate Transactions
Assist management in the group's corporate operations, including:
Restructuring
Acquisitions and disposals of companies
Internal reorganizations
Capital transactions
Prepare the corporate documents required for transactions.
Participate in the management of legal data rooms during M&A transactions.
Contract Management:
Assist with the administrative management of the contract lifecycle:
Preparation and formatting
Monitoring signatures
Archiving and recording
Maintain a register of the group's strategic contracts.
Ensure coordination with internal departments for the collection of contractual information
Compliance and Regulatory Obligations:
Assist in ensuring compliance with regulatory obligations applicable to the group's companies.
Participate in the preparation of documents related to:
Corporate Compliance
Governance
Regulatory Reporting Obligations.
Respond to internal and external information requests (auditors, banks, authorities).
Participate in the preparation of internal and external legal audits.
Support for cross-functional activities and collaborate with various departments within the group
Requirements
Education & Experience:
Degree or Certificate in Law or other training or specialization in corporate or business law
Minimum 5 years of experience in a similar position, ideally within a multinational corporation, law firm, or corporate services firm. Experience in a multi-jurisdictional environment is highly valued.
Skills and Knowledge:
Solid understanding of corporate law and corporate governance
Knowledge of international corporate formalities
Proficiency with office software (MS Office)
Ability to manage a portfolio of companies in multiple jurisdictions
Excellent prioritization skills
Excellent organizational and interpersonal skills
Autonomy, discretion, rigor, and a strong sense of confidentiality.
Excellent language skills in French and English (spoken and written) – C1 level is mandatory
Knowledge of Portuguese would be an asset
