ROLE OVERVIEW:
We are seeking a proactive and
detail-oriented individual with relevant experience to join our Legal team as
Assistant Company Secretary. This essential role within the Legal Services
directorate supports the Governance Director & Company Secretary and Deputy
Company Secretary in delivering efficient and compliant corporate governance
and board/committee secretariat services. You will collaborate with board
members (non-executive directors and directors), the Executive Committee
(ExCo), and colleagues across the Group to ensure SGN’s governance and
decision-making processes are effectively supported.
You will provide administrative
and operational support for the corporate governance framework, assist the
Enterprise Governance and Company Secretariat Team, and contribute to
maintaining high standards of governance. Attendance at Executive and Board meetings
may be required to support secretariat functions.
KEY ACCOUNTABILITIES:
You will:
People
Build positive working relationships with key
stakeholders, including the Chief Legal Officer (CLO), ExCo, Board,
Shareholders, and legal function.
Support the Enterprise Governance and Company Secretariat
Team, contributing to team tasks and assisting with coordination as
directed.
Safety
Develop an understanding of SGN’s business, legal,
and regulatory framework, including Ofgem RIIO-GD3 and listed debt
requirements (London and Channel Islands stock exchanges).
Assist in ensuring company secretariat services
comply with SGN’s statutory powers, licence, internal governance,
financial covenants, and applicable laws.
Support the maintenance of the Group’s Delegation
of Authority, signing policies, and powers of attorney register.
Deliver secretariat support services professionally
and ethically within allocated timeframes.
Productivity
Support the preparation and quality assurance of
meeting papers, ensuring alignment with governance processes and terms of
reference.
Assist in producing accurate and timely minutes,
matters arising summaries, board reports, and packs, maintaining high
attention to detail.
Help maintain accurate governance records and
contribute to timely reporting to ExCo, Board, and regulatory authorities.
Future
Support transformation and executive-sponsored
programs to enhance SGN’s governance and safety culture.
Provide flexible administrative support across the
legal services function, including non-specialist areas, as needed.
WHAT YOU’LL BRING:
Primary selection criteria
Some experience in a company secretariat or
governance role, ideally in an assistant capacity.
Familiarity with regulatory sectors, preferably gas
distribution or infrastructure, is advantageous.
Skills

Basic understanding of company law and corporate
governance principles.
Good written and verbal communication skills.
Ability to work effectively under pressure and

Familiarity with Board Intelligence, Diligent,
Blueprint, or equivalent governance systems is desirable.
Proficient in Microsoft Word, Excel, PowerPoint,
Adobe Acrobat, Teams, and SharePoint.
