Join us as BP Shareholder Representative – Castrol JV!

In this individual contributor role - hosted within C&P Marketing & Transformation team - you will be responsible for the efficient and effective management of bp’s interest in the Castrol JV and its ongoing development. The role holder is the single point of accountability for creating and protecting bp value, for managing bp’s JV risk exposure and the successful execution and transition of relevant Transition Service Agreements (TSAs).

Set-up & separation readiness

  • Support activities of the separation management office, ensuring progress supports closing requirements

  • Participate in definition of Transition Service Agreements (TSAs)

  • Lead post Day 1 separation challenges

  • Assess risks around value leakage and stranded costs, and work with the separation management office to develop plans to mitigate the impact

Governance

  • Ensure the governance process is accomplished as agreed Look for opportunities to optimize and streamline.

  • Ensure robust and consistent investment governance and assurance processes are applied to all investment proposals.

  • Support bp appointed JV Board members, proactively identifying issues related to the Board including Board materials / decision support and committees’ coordination.

  • Act as an Observer on the JV Board

  • Understand and manage bp’s legal / contractual rights and obligations in the JV agreements and other documents that define the JV’s requirements and boundaries. Verify that rights and obligations are met.

  • Build and lead strong relationships to represent bp’s position, protect and build bp’s value, manage risk and share takeaways.

Strategic Fit & Risk Management

  • Lead the development of bp’s strategy for its investment in the Castrol JV

  • Monitoring JV performance and external factors that could impact bp’s strategic position and recommending necessary adjustments.

  • Pro-actively manage bp’s JV risk exposure

  • Support data collection for bp’s reporting requirements. Ensure that information sharing between bp and the Castrol JV is appropriate and within the legal boundaries and the boundaries of the JV agreements.

  • Monitor and exercise bp audit rights to ensure compliance with the JV agreements.

Relationship management

  • Post separation, serve as the primary relationship point of contact for the Castrol JV, ensuring effective communication and coordination

  • Build strong relationships with JV Management team and shareholders to represent bp’s position, build and protect bp’s value.

  • Ensure relevant training for bp staff involved with the JV – this includes pre-deployment training, support with sponsors within bp and ongoing assistance for secondees.

  • Where long term commercial interfaces between bp and Castrol are expected to remain, work with relevant stakeholders to develop opportunities to create incremental value.

Compliance of TSAs / TSA management

  • Point of coordination and escalation in the execution of TSAs. Ensure TSAs are adequately supported by bp, employing appropriate skills and experience.

  • Manage potential extensions, transitions and exits of TSAs. Monitor adherence to agreed rights and obligations

  • Act as the primary for any service requests.

Experience and qualifications – what you will need to be successful:

Possessing strong commercial acumen and leadership skills, enabling effective influence and maintaining relationships within bp, the JV and with partners to drive continuous improvement and influence compliance and risk management within the Castrol JV.

  • Strong business and commercial understanding, with expertise in financial planning and cost management, with a focus on optimising financial performance within the JV framework.

  • Proven significant strategic relationship management experience; previous JV management experience is an advantage.

  • Demonstrated performance management capabilities, with a deep understanding of JV structures, JV agreements and the ability to align the JV’s purpose with bp’s overall strategy. Experience in corporate governance and planning.

  • Proven ability to influence and build strong relationships. Experience in working with Private Equity.

  • Understanding of risk assessment and exposure management.

  • Commitment to ethical leadership and integrity in all business dealings, ensure alignment with bp’s standards.
