About the role:

M&A Legal supports the Group Mergers & Acquisitions (M&A) function which is responsible for delivering bp’s high value and strategic merger, divestment and acquisition activity, including public / private acquisitions and divestments, joint ventures and public market securities trades.

M&A Legal supports market assessment, pricing and bidding, deal negotiation, and driving transactions to completion to secure maximum value for bp. In this role, you will work with Group M&A professionals and provide legal support through counselling, drafting, advising, and other forms of transactional legal assistance.

M&A experience will be advantageous and you will be expected to play a leading role in helping to evolve how bp delivers transactions by using AI and new technologies.

What you will deliver

  • Providing legal support to Group M&A, which shall include drafting documents, organizing and conducting due diligence, assisting with design and preparation of transactional process and with the conduct of transaction itself;

  • Identifying legal and commercial risks, assessing their potential impact, finding opportunities to capture value and growth, and providing strategic and timely legal advice;

  • Ensuring that material risks are appropriately managed. Collaborating with colleagues to communicate the existence of such risks to line manager and other partners within bp and, where necessary, mitigating such risks within the context of a negotiated transaction (whether in the transaction documentation, structurally or otherwise);

  • Instructing and managing external M&A counsel to ensure that support is provided when needed, transaction objectives are achieved, costs are minimised and bp receives optimal service and value;

  • Working with M&A Legal colleagues to coordinate legal advice and support of M&A transactions by other in-house specialty practice groups within BP Legal;

  • Supporting other transactional and business development work across the Group where M&A expertise and insight can create a competitive advantage and an opportunity to lead transactions in the business development (low carbon and trading) and Ventures spaces;

  • Innovating and identifying new ways to deliver transactions to minimise costs, leverage AI and applying new technologies;

  • Following the bp Code of Conduct and applicable bp safety and compliance standards and working to ensure that every transaction on which the individual is advising aligns with them

What you will need to be successful

  • Prior M&A or transactional experience, preferably within the energy sector, with strong client advisory, negotiation and transaction management abilities;

  • A passion for innovation, embracing AI and applying new technology to old problems;

  • Experience of handling legal spend and budgets;

  • Strong academics and technical legal ability;

  • A proven record of commercial awareness and of high-quality contribution to business strategy and delivery;

  • Strong interpersonal and communication skills and the ability to influence and work collaboratively within a group of experienced and motivated lawyers, clients and M&A professionals across different teams and geographies;

  • A teammate mentality with the ability to focus, direct and manage the efforts of internal and external legal and business resources to provide critical legal support to Group M&A and other partners;

  • Self-motivated, driven, committed, having a bias towards finding solutions and closing issues (not merely identifying problems), be innovative and be prepared to deliver robust and commercial advice; and

  • An ability to successfully priorities tasks to support a multi-transaction portfolio, particularly at peak times of the transactional cycle.
