Job Description - In-House Counsel - Leading International Law Firm

An exciting opportunity has arisen for a talented legal professional to join the central Office of the General Counsel as an In-House Counsel specialising in Corporate Affairs. This role is suitable for someone with experience in an in-house legal team or a private practice lawyer seeking their first move into an internal advisory position.

Key responsibilities:

  • Manage the day-to-day operations of the organisation's corporate affairs across all entities within the group, ensuring compliance with governance requirements and regulatory standards.
  • Coordinate input from internal subject matter experts in areas such as Tax and Finance to deliver comprehensive solutions for complex corporate matters.
  • Oversee the production of essential documentation required for effective corporate governance and regulatory maintenance activities.
  • Prepare transactional documents for ad-hoc advisory projects, ensuring accuracy and alignment with organisational objectives.
  • Lead the process of incorporating companies, limited liability partnerships (LLPs), and branches as needed by the business.
  • Provide critical support for board meetings, including preparation of materials and minuting proceedings to ensure robust record-keeping.
  • Initiate positive change by building internal and external networks that expand the services offered by the legal team and raise its profile within the organisation.
  • Coordinate closely with colleagues across UK and overseas teams to ensure seamless delivery of legal services on cross-border matters.
  • Supervise junior members of the in-house legal team, providing guidance, mentorship, and support in their professional development.
  • Respond promptly to ad hoc queries from stakeholders, acting as a trusted advisor on a wide range of risk issues affecting the business.
  • Develop and deliver training sessions for internal stakeholders to enhance understanding of legal processes and up skill junior team members.
  • Review, draft, and negotiate commercial agreements in various contexts to protect organisational interests.

Experience required:

  • Demonstrated ability to work collaboratively as part of a close-knit legal team committed to shared goals and mutual support.
  • Previous experience in private practice is preferred; however, candidates with strong in-house backgrounds are equally encouraged to apply.
  • A diplomatic approach combined with excellent communication skills enables you to explain complex concepts clearly while tactfully challenging established practices when necessary.
  • Proven capacity for managing complex work-flows under pressure by prioritising tasks effectively according to urgency and importance.
  • A conscientious attitude towards problem-solving ensures meticulous attention to detail while respecting confidentiality at all times.
  • Outstanding persuasive reasoning skills empower you to identify when issues need escalation and how best to communicate them within the organisation.
  • Comprehensive knowledge of key areas of law relevant to corporate affairs allows you to provide clear, practical advice tailored to stakeholder needs.
  • Initiative-driven mindset built upon tangible achievements gives you confidence when liaising with internal partners or external contacts as required.
  • Experience delegating tasks appropriately demonstrates your ability to supervise junior colleagues while fostering their growth within the team environment.
  • Commitment to continuous improvement is evidenced by regular updates of your technical expertise through training or self-directed learning initiatives.
