Job Description - Legal Counsel

Partnering with institutional investors, investment funds and asset managers, Waystone builds, supports and protects investment structures and strategies worldwide. With over 20 years’ experience and a comprehensive range of specialist services to its name, Waystone is now serving assets under management in excess of $2Tn. Waystone provides its clients with the guidance and tools to allow them to focus on managing their investment goals with confidence.



The Legal Counsel role is a role responsible for advising and supporting the Waystone business in the United Kingdom and Asia. This role is essential in today's rapidly evolving business landscape, where companies need to adapt to new technologies, market shifts, and competitive pressure. The Legal Counsel will collaborate with peers, in particular the UK Head of Legal, the UK legal team and cross-functional teams to help the organisation execute long and short-term initiatives.  



Key Roles and Responsibilities


  Provide legal advice on the establishment, management, and administration of investment funds, including UK UCITS, AIFs, and other collective investment schemes.



  • Draft and review fund documentation, including prospectuses, offering memoranda, and fund agreements.

  • Ensure compliance with UK including the Financial Conduct Authority (FCA) rules.

  • Negotiate commercial contracts with third party vendors on behalf of Waystone

  • Advise on fund structuring and distribution, including the negotiation of distribution and platform agreements.

  • Liaise with external counsel on legal and regulatory matters.

  • Conduct legal research and stay up-to-date with changes in relevant laws and regulations.

  • Assist in the development and implementation of internal policies and procedures to ensure regulatory compliance.

  • Provide training and support to other teams on legal and regulatory issues affecting the business.

Qualifications and Skills:



  • Qualified solicitor in England and Wales with a minimum of 2 years PQE.

  • Ideally with experience in UK funds law, including knowledge of UCITS, AIFMD, and other relevant regulations.

  • Strong drafting, negotiation, and analytical skills.

  • Excellent communication and interpersonal skills, with the ability to work effectively with colleagues at all levels.

  • Proactive, with a strong attention to detail and the ability to manage multiple tasks simultaneously.

  • Ability to work independently and as part of a small team, demonstrating a collaborative approach to problem-solving.
