Job Description - IT Strategy Principal

Role Summary This is an senior internal consulting role focused on Merger and Acquisition transaction leadership for Cigna technology. The role leads due diligence, business engagement, external engagement, and integration planning for small-medium sized transactions. The person in this role has significant enterprise influence because they make go/nogo decisions on mergers and leads a portion of the value realization for a given transaction. Requires "big 6" executive/partner level consulting skills, similar to a practice lead at a Deloitte/Accenture/Bain type of firm. Expertise required includes 5-10 years of demonstrated experience in broad information technology leadership, strong consulting talent, and demonstrated expertise and knowledge of Mergers, Acquisitions and Divestitures including pre-deal operations and information technology due diligence, integration planning, separation planning, synergy and cost savings analysis, and/or post-close transformation. Alternatively, strong consulting enterprise architecture expertise that demonstrates ability to influence "all-in" product and technology decisions. Major Duties/Responsibilities: Primary Responsibilities include but are not limited to: Managing senior business and IT relationships in Cigna and the acquired entity:
  • For a specific M&A or divestiture transaction, provide primary IT leadership for Corporate Development and M&A Business Sponsors for a specific transaction. Guide transaction team to follow IT playbook process, drive alignment between IT and acquisition business case, ensure IT responsibilities are staffed, manage exceptions. Consult with IT senior leadership of the acquired entity to prioritize integration activities, coach appropriate change management/culture actions, and align IT organization assets
  • On an ongoing basis, build relationships with key business leaders to stay current on in-organic deal activity.
  • For a specific transaction, ensure Cigna IT senior leadership is kept informed, drive decisions requiring executive action, and provide impact assessments regarding IT staff, resources, and technology.
For a specific transaction, ensure delivery on time and within business case constraints:
  • Ensure IT integration budget and value metrics are clear in the acquisition business case
  • Identify strategic fit/gap between acquisition's IT platform and process and Cigna's go-forward IT strategy. Recommend steps to overcome gaps.
  • Define IT governance & engagement model with acquisition partners and ensure onboarding process is clear
  • Provide integration delivery oversight once a transaction is closed
  • If needed, define Separation Strategy and Approach and negotiate IT Transition Services and reverse IT services. During execution phase, manage ramp down of Transition Services and TSA budget
Communications, Planning and Risk Management
  • Delivers IT Executive Summaries/Risk Report on impact, status, and IT metrics for a transaction
  • Delivers and signs the IT risk assessment for a transaction
  • Develops initial integration plan and roadmap for a transaction
  • Forecasts costs, staffing levels, and budget for a transaction
Reach/Breadth This role faces off to:
  • Senior leadership of the acquired entity, including CEO, CIO, CFO
  • Senior leadership within Cigna, including technology, Corporate Strategy, Corporate Development, and the business operational executive owner of the transaction
  • Often facilitates and guides third parties (e.g. consultant, bankers) who are part of the transactions
Qualifications Demonstrates proven expert-level abilities and success with managing and developing strategic client relationships while providing the highest quality client work across multiple client projects, which includes the following:
  • Building solid and collaborative relationships with team members; foster a productive teamwork environment, lead teams to generate a vision, leverage diverse views, and help develop and grow team members throughout the course of every engagement.
  • Managing and delivering significant business results that reflects strategic and creative thinking, individual initiative and the following abilities:
    • Developing a business vision and leading complex projects while functioning as a trusted advisor to both Cigna and counter-party leadership
    • Communicating complex material effectively in written and oral formats to various audiences
    • Directing and conducting quantitative and qualitative analyses of complex data
  • 5-10 years' experience leading complex merger diligence programs
  • Ability to align business value with technology delivery
  • Strong leadership skills to drive cultural alignment
  • Must have knowledge of healthcare/PBM and related business operations and technology or strong knowledge of the typical payor and provider healthcare technology supply chain
  • Broad healthcare industry knowledge, including not only technology, but how products are developed, financed, and delivered. Knowledge of industry trends around interoperability, Value Based reimbursement, consumer engagement, and data a plus

  • Financial Acumen: ability to "follow the money" in a transaction to understand drivers and align IT diligence and integration plan against the deal drivers
  • Architecture savvy: a strong understanding of how IT technologies and applications are structured, with ability to probe for gaps and issues that impact deal realization
  • Communication: vital to have a powerful written and verbal communication ability to address small and large groups to drive culture change and behavior to achieve deal results

  • This position will report directly to the Managing Directory Technology M&A and is part of the enterprise architecture organization

For this position, we anticipate offering an annual salary of 135,200 - 225,400 USD / yearly, depending on relevant factors, including experience and geographic location.
