Corporate Finance Associate Attorney

We are looking for a motivated and experienced Corporate Finance Associate Attorney to provide legal advice and guidance on corporate transactions and securities law. The successful candidate will have a strong background in capital markets, venture capital, private equity, corporate governance and M&A. They will have excellent interpersonal skills, be a team player and be able to work in a fast-paced environment.

Position Overview:

• Advise clients on corporate transactions, securities laws, and other governance matters.
• Analyze corporate finance documents, including contracts, agreements, and disclosure documents.
• Advise on the implications of new laws, regulations, and court decisions on corporate transactions and securities.
• Provide legal advice and guidance on corporate transactions and securities law.
• Negotiate and draft contracts and other documents related to corporate transactions.
• Provide strategic guidance and advice in the areas of corporate finance and securities.
• Draft legal opinions and other documents in connection with corporate finance transactions.

Qualifications:

• Juris Doctor (JD) degree.
• Admission to a state bar in good standing.
• At least two years of experience in the practice of corporate law, securities law, capital markets, venture capital, private equity, and corporate governance.
• Experience in mergers and acquisitions (M&A) is a plus.
• Excellent communication and interpersonal skills.
• Ability to work independently and as part of a team.
• Strong organizational and time management skills.
