Contract Attorney - Affordable Housing Law (CA-Barred)
 
LHH has partnered with an established boutique law firm situated in the vibrant San Francisco Bay Area seeking a California-barred attorney for a contract or contract-to-hire role. Specializing in affordable housing law, the firm is renowned for its expertise in low-income housing tax credit programs and various affordable housing finance initiatives. We are seeking a California-barred attorney for a contract or contract-to-hire role. This role requires a solid foundation in legal analysis and transactional skills, particularly in real estate, corporate governance, secured transactions, low-income housing tax credits, and partnership taxation.
 
Job Title: Attorney (CA Barred)
Location: San Francisco, CA 94104
Job Type: Full Time (40 hours/week); Contract or Contract-to-Hire
Workplace: Onsite, Hybrid, or Remote
 
 
Responsibilities Include:
  • Lead negotiations and oversee transactions on behalf of purchasers, ensuring efficient purchase and sale processes, thorough documentation, title review, due diligence, and property transfer.
  • Direct negotiations and manage transactions representing ground lessors, including exclusive agreements with governmental fee owners, lease options, disposition and development agreements, ground lease documentation, and comprehensive title review and property due diligence.
  • Prepare necessary legal agreements essential for property operation, including easements, licenses, joint use agreements, and cost-sharing agreements.
  • Spearhead conversions from construction to permanent financing, representing borrower/developers utilizing conventional bank loans, as well as various government funding sources.
  • Lead negotiations in real estate financing transactions for developers, engaging with private lenders, nonprofit lenders, governmental lenders, direct tax credit investors, and tax credit investment funds.
  • Conduct thorough reviews of letters of intent (LOI) and due diligence, adeptly tracking transactional issues to resolution, and identifying inconsistencies or concerns requiring partner attention.
  • Demonstrate mastery of economic projections, identifying transactional issues, addressing inconsistencies in documents, and resolving economic challenges such as minimum gain issues and limited partner capital account issues.
  • Prepare legal opinions with minimal supervision, ensuring accuracy and compliance with relevant regulations.
  • Communicate effectively with clients, colleagues, and external parties.
  • Plan and organize workflow effectively, delegating tasks when necessary.
 
Qualifications:
  • Juris Doctor (JD) and licensed to practice law in California required.
  • Minimum of 7 years' experience in transactional law.
  • Experience with nonprofits a plus.
  • Tax background a plus.
  • Proficient in drafting and reviewing legal documents.
  • Familiarity with private and public lending practices.
  • Knowledge of governmental agencies and processes.
  • Strong organizational, analytical, and communication skills.
  • Ability to work both independently and collaboratively.
  • Proficiency in Microsoft Office Suite and Google Workspace Suite.
 
Compensation and Benefits:
  • Competitive hourly rate commensurate with experience.
