Position Summary
Huron has an immediate need for an attorney with direct experience in transactional work, preferably in an in-house environment, with primary emphasis on drafting and negotiating contracts with clients, prospective clients, software partners, and various other third parties. The position will report to a Deputy General Counsel and be part of a dynamic Legal Team.
Candidate must have excellent communication and writing skills, effective negotiation ability, outstanding business and analytical judgment, and a strong sense of inclusion and teamwork.

Supports: This new position will support Business Advisory’s rapidly growing Digital Capability which implements technology solutions across a variety of enterprises and provide backup support to other segments in Business Advisory and Higher Education.
Major Responsibilities:
Responsible for the entire client contracting cycle, from initial draft to finalization and signature, driving contract negotiations to timely and successful completion to arrive at balanced solutions. Reviewing, drafting and negotiating a wide range of commercial agreements including client sales contracts, consultant agreements, engagement letters, master services agreements, software partner agreements, reseller agreements, POs change orders, amendments, managed service agreements, non- disclosure agreements, and RFPs. Drafting and negotiating software as a service agreements (SaaS), software licensing agreements and professional services agreements, handling IP issues. Establishing thorough knowledge of Huron’s Digital business and related contracts, knowledge of typical negotiation positions, and the ability to articulate and negotiate company positions persuasively. Foster collaborative working relationships with internal business clients and executives, company clients and the various corporate functions. Leverage various technologies (Salesforce, Workday, DocuSign) to streamline the contracting process. Provide backup support for other practices such as the Business Advisory and Higher Education segments. Desired Experience:
Experience drafting and reviewing contracts required. Excellent communication skills – both verbal and written. Superior ability to relate at all seniority levels among our internal clients and external counsel. Superb attention to detail and the ability to provide timely legal support in a fast- paced consulting environment. High level of professionalism and outstanding business judgment requiring minimal supervision. Highly motivated, strategic, detail-oriented approach with the ability to pro-actively organize a heavy workload and demonstrate excellent analytical abilities. Possess intellectual curiosity to be a continuous learner. Has a passion for the business world. Undergraduate and law degree required. Admitted to the Bar (IL preferred). A minimum of 7-10 years of contracting, law firm transactional or in-house experience desired. Professional services experience desired, not essential. Experience working with Digital and/or SaaS tools. Proficiency in Microsoft Office (Word, Excel, and Outlook) is essential. __

The estimated base salary range for this job is $150,000 - $215,000. The range represents a good faith estimate of the range that Huron reasonably expects to pay for this job at the time of the job posting. The actual salary paid to an individual will vary based on multiple factors, including but not limited to specific skills or certifications, years of experience, market changes, and required travel. This job is also eligible to participate in Huron’s annual incentive compensation program, which reflects Huron’s pay for performance philosophy. Inclusive of annual incentive compensation opportunity, the total estimated compensation range for this job is $187,000 - $290,000. The job is also eligible to participate in Huron’s benefit plans which include medical, dental and vision coverage and other wellness programs. The salary range information provided is in accordance with applicable state and local laws regarding salary transparency that are currently in effect and may be implemented in the future.
