Job Description - Associate Attorney - Energy Transactions

Energy & Infrastructure Attorney – Project Finance and M&A (2-6 Years Experience)

Join a prestigious global law firm with over a century of legal excellence as an Energy & Infrastructure Attorney. We are seeking talented associates with 2-6 years of experience to join our dynamic practice in New York, Washington, DC, or Houston. This role offers the opportunity to work on cutting-edge energy finance transactions, renewable energy projects, and infrastructure M&A deals for the industry's leading stakeholders.

Key Responsibilities

  • Handle financing transactions and private M&A deals with a focus on energy and infrastructure sectors
  • Structure and negotiate project finance transactions, including renewable energy and clean energy projects
  • Advise clients on tax equity structures and Inflation Reduction Act (IRA) credit transactions
  • Represent sponsors, developers, lenders, institutional investors, private equity firms, and tax equity investors in complex energy transactions
  • Draft and negotiate financing agreements, including sustainability-linked and green loan structures
  • Provide legal counsel across all stages of the project lifecycle, from development through financing and M&A
  • Collaborate with cross-functional teams on infrastructure finance and energy-related matters

Required Qualifications

  • Juris Doctor (JD) degree from a top 50 accredited law school
  • Active bar membership in good standing in New York, Washington, DC, or Texas (based on office location)
  • 2-6 years of experience at an AmLaw 200 law firm
  • Proven experience in financing transactions and/or private M&A deals
  • Strong understanding of project finance structures and documentation
  • Excellent analytical, drafting, and negotiation skills
  • Ability to manage multiple transactions simultaneously in a fast-paced environment

Preferred Qualifications

  • Experience with project finance and energy financing transactions
  • Background in energy and infrastructure-related M&A transactions
  • Knowledge of tax equity investment structures
  • Familiarity with Inflation Reduction Act (IRA) credits and renewable energy incentives
  • Experience with sustainability-linked financing and green loan principles

Compensation and Benefits

Annual salary range: $235,000 - $390,000 (USD), plus discretionary bonus.
