Job Description - Associate - Business & Financial Restructuring

SUMMARY:

Our client seeks an associate to join its Business Reorganization and Financial Restructuring practice group. The ideal candidate should have 3-5 or more years of sophisticated commercial bankruptcy practice including both litigation and transactional experience. Candidate must have an aptitude for client contact, have the willingness to work independently, be a team player, be able to work/thrive in a fast-paced environment, and be detail-oriented. Stellar academics and superior writing and research skills are required. This position is available in their New York, Dallas, Philadelphia, or San Francisco office along with requisite bar admission in the jurisdiction of practice.

RESPONSIBILITIES:

  • Represent companies, lenders, and investors in Chapter 11 bankruptcy proceedings and out-of-court restructuring transactions.
  • Draft and negotiate restructuring documents, including debtor-in-possession (DIP) financing agreements, asset purchase agreements, and disclosure statements.
  • Manage contested motions, adversary proceedings, and negotiations with stakeholders.
  • Advise on fiduciary duties during insolvency, distressed M&A, and turnaround strategies.
  • Conduct detailed legal research and financial analysis to support restructuring strategies.

QUALIFICATIONS:

  • Must have 3-6 years of experience in sophisticated commercial bankruptcy or financial restructuring.
  • Strong knowledge of the Bankruptcy Code, Federal Rules of Bankruptcy Procedure, and case law.
  • Juris Doctor (J.D.) Degree & Top Academic Credentials.
  • Active Bar Membership in Good Standing within one of the following – NY, TX, PA or CA.
  • Excellent legal research, writing, and client management skills.
  • Experience in a large law firm (Am Law Preferred) environment.
  • Ability to work independently, thrive in a fast-paced environment, and act as a team player.
