Job Description - Associate Capital Markets (Mid-Level, Equity Capital Markets Focus)

New York, New York

Job Description

Pillsbury’s Corporate & Securities Business Unit is seeking a highly motivated mid-level associate with substantial capital markets experience to join our Capital Markets (CAPM) team. This position is expected to be based in our New York office; exceptional candidates in our Silicon Valley office will be considered.

This role offers significant opportunity for hands-on deal execution, client interaction, and professional growth within our Capital Markets practice, with a particular emphasis on Equity Capital Markets.

Position Overview:

Our Capital Markets team is seeking a mid-level associate who can bridge the gap between junior associates and senior attorneys. This role is intended to strengthen mid-level coverage and support efficient deal execution across the team.

The ideal candidate will be able to step into active transactions and independently manage day-to-day execution with minimal supervision. This associate will take ownership of deal workstreams, proactively drive transactions forward, and coordinate across internal and external stakeholders.

This role will play an important part in maintaining continuity across active matters and supporting sustained deal flow, while working closely with senior attorneys who provide strategic guidance and mentorship.

Responsibilities:

- Lead and manage day-to-day execution of capital markets transactions, with a focus on Equity Capital Markets offerings

- Draft and review offering documents, including registration statements, prospectuses, and related filings

- Coordinate due diligence processes and manage transaction timelines

- Advise clients on securities law compliance and disclosure requirements

- Take ownership of key deal workstreams and proactively drive transactions forward

- Work collaboratively with partners, senior associates, and cross-functional teams across offices

- Communicate effectively with clients, underwriters, and opposing counsel

Qualifications:

- Juris Doctor (J.D.) from an accredited law school

- 4–6 years of relevant capital markets experience, ideally at an Am Law 100 firm

- Repeat experience with public securities offerings

- Strong working knowledge of U.S. securities laws and regulatory frameworks

- Hands-on experience with both equity and debt transactions, including convertible debt offerings

- Experience representing both issuers and underwriters

- Demonstrated ability to independently manage substantial components of transactions and run day-to-day execution

- Excellent academic credentials and strong analytical, writing, and communication skills

- Admission to the New York bar (or eligibility), or California bar for Silicon Valley candidates

Why Join Us:

Pillsbury’s Capital Markets team is recognized for its sophisticated transactional practice and collaborative, low-ego culture where senior lawyers are accessible and invested in associate development. Associates in this role are given meaningful responsibility from day one, including direct ownership of key deal workstreams and regular client interaction.

Our lean deal teams provide associates with significant exposure and responsibility, accelerating development and client-facing experience. The team advises on a steady flow of sophisticated capital markets transactions, offering repeated exposure to complex equity and debt offerings.

This role is well-suited for associates seeking to deepen their capital markets expertise and take on increasing responsibility as they progress toward senior roles.

Our Corporate & Securities practice is consistently ranked among the top globally by Chambers, The Legal 500 U.S., and U.S. News – Best Lawyers. With a strong bicoastal platform and deep industry experience, we provide comprehensive legal support to clients across all stages of the business lifecycle.

New York Pay range for this role, with final offer amount dependent on skillset and experience, is $310,000 - $390,000.
