Associate - Corporate Outsourcing & Commercial Contracts

SUMMARY:

Our client, a prestigious global law firm, seeks an associate with 1–5+ years of experience to join their Strategic Sourcing and Commercial Contacts practice. The ideal candidate will have experience advising clients on ITO and BPO outsourcing transactions and a broad base of commercial agreements, including supply agreements, logistics and distribution agreements, contract manufacturing agreements, and fund administration agreements.

RESPONSIBILITIES:

• Draft, review, and negotiate complex, high-value commercial agreements, including outsourcing (ITO/BPO), vendor agreements, and licensing.
• Advise clients on sourcing transactions, technology partnerships, and vendor management.
• Advise on legal risks regarding data protection, intellectual property, regulatory compliance, etc.
• Counsel stakeholders (Procurement, Sales, IT) on contract interpretation and deal structuring.
• Perform additional duties, tasks or projects as assigned.

REQUIREMENTS:

• Must have 1 – 5 years experience with a focus in technology transactions, large-scale ITO/BPO outsourcing, or commercial contracts.
• AM Law 100 to 200 firm Experience
• JD (Juris Doctor) Degree from Accredited Law School
• Active New York Bar Membership in Good Standing
• Excellent analytical & negotiation skills,
• Excellent communication abilities.
• Expertise in navigating complex IT/business agreements.
