Job Description - Associate Counsel

Description

The Associate Counsel reports to the Associate General Counsel and supports the Legal Department and other Milhaus departments and affiliated companies.

The Associate  will be responsible for handling a wide variety  of commercial, investment, and real estate transactions. This position will provide an excellent opportunity for career growth.

Essential Position Functions:

Transactional Legal Support:

  • Provide legal support and manage legal complexities across all phases of real estate investment, including fund formation, acquisition financing, development, leasing, asset management, and disposition.

Contract Drafting and Negotiation:

  • Draft, review, negotiate, and interpret a wide variety of agreements, including:

· Non-disclosure agreements

· Consulting and design-build agreements

· Architectural and civil engineering contracts

· Bulk service, subcontractor, and master service agreements

· Leases and property management agreements

Real Estate Transactions:

  • Coordinate and manage commercial real estate transactions from inception through closing, working closely with outside counsel on letters of intent, purchase and sale agreements (including title and survey review), and financing documentation.

Corporate and Fund Documentation:

  • Prepare organizational and offering materials such as entity formation documents, operating and joint venture agreements, private placement memorandums, and board/shareholder resolutions.

Dispute Management:

  • Handle legal matters involving landlord/tenant disputes and assist in resolution strategies.

Policy and Governance Support:

  • Draft and maintain internal policies, best practices, legal tools, and compliance programs aligned with Milhaus’ business objectives and core values.

Cross-functional Legal Support:

  • Advise and support development, design, construction, and property management teams to ensure legal and contractual compliance across all project phases.

Industry Engagement:

  • Actively participate in professional organizations and maintain strong networks within the real estate legal and investment communities.

Requirements

Education and Qualifications:

  • JD degree from an ABA accredited law school with exceptional academic credentials and have strong writing and analytical organizational and communication skills.
  • Bar admission in least one jurisdiction in the United States.
  • Prefer 3-5 years of relevant legal experience in a law firm or in-house legal department setting.

Knowledge, Skills, and Abilities:

  • Conscientious, self-starter with strong analytical, research and writing skills, and extremely detail oriented, eager to learn and sound business judgment.
  • Skilled at meeting deadlines under significant time pressure.
  • Ability to handle multiple tasks simultaneously with a high degree of professionalism.
  • Strong verbal and written communication skills (including radical candor).
  • Highly ethical and responsive to colleagues and third parties.
