Job Description - Board Secretary

Our client, a leading financial institution and key player in the Maltese market, forms part of a highly diversified multi-national group. With a workforce of over 270 employees, they offer a comprehensive range of lending and savings solutions for both personal and business customers. Through a network of thirteen retail branches across the Maltese Islands, they are committed to delivering highly personalised services.

Duties and Responsibilities

The Board Secretary plays a pivotal role in supporting the Board of Directors, its committees, and shareholders. Reporting to the Company Secretary and the Chairperson of the Board, this position is responsible for a variety of corporate governance and administrative tasks, including:

  • Drafting and distributing minutes of Board, committee, and shareholder meetings;
  • Managing calendars, agendas, action trackers, and meeting materials for the Board and its committees;
  • Overseeing documentation, record-keeping, and administrative tasks to ensure compliance with corporate governance standards; and
  • Ensuring timely regulatory filings and preparing statutory reports and company announcements as required.

Competencies and Experience

The ideal candidate must:

  • Be capable of prioritising tasks, multi-tasking, and working effectively under pressure;
  • Exhibit strong organisational skills and attention to detail to ensure high-quality deliverables;
  • Be proficient in Microsoft Office applications; and
  • Demonstrate excellent written and verbal communication skills in both English and Maltese.
  • Experience related to the Market Abuse Regulations will be considered an asset.
