Job Description - Chief Legal Officer

Reporting to the CEO, this role will function as a critical, strategic advisor to the business, Management Team, and Board of Directors. This role will directly oversee the Global Legal Department and will partner closely with our Ethics and Compliance team.  The EVP, Chief Legal Officer and Secretary will be expected to serve on and contribute to the Management Board (executive leadership team), which sets the strategic direction of the Company, evaluates, and makes decisions regarding risk mitigation and represents leadership to the global employee population. As such, they are expected to contribute and add value beyond the boundaries of strict legal questions or matters, serving as a pragmatic problem-solver, sounding board, and business-savvy colleague. Additionally, this position will also serve as Corporate Secretary, ensuring appropriate Board minutes, resolutions and related corporate governance activities are undertaken. Key Responsibilities Serve as a trusted advisor to Alnylam’s Board of Directors, CEO, Senior Management Team, and colleagues across all areas of the business. Oversee and lead a high-performing global team of attorneys and staff with deep expertise in Corporate Legal (Business Development/Transactional Legal, Employment, SEC/Filings etc.), US Commercial Legal, International Legal, Intellectual Property, Government Relations, and Legal Operations. Serve as part of the Management Board and Operating Team, providing both legal and business counsel and creative problem-solving skills to achieve business objectives. Provide strong legal guidance on all matters that affect the company including matters related to the future direction of the company, collaborations, partnerships, potential mergers and acquisitions, fundraising and changes in policy. Anticipate legal issues and potential threats to the business, assets, and reputation, and develop innovative and practical solutions to address them. Keep abreast of business and industry developments and related legal requirements and apply them to the business. Demonstrate solid judgment and business acumen and understanding of business operations, particularly in determining the significance of legal matters in the context of business objectives and assessing risks and benefits. Strong verbal and written skills with ability to explain complex, challenging issues and risk in a clear manner to all levels of the organization, including senior management and the Board of Directors. Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously. Ability to maintain high level of integrity of confidential and sensitive information and credibility within the organization. Enterprise-level thinker, visionary, and problem solver. Qualifications Juris Doctor (JD) and member currently in good standing of any US State Bar. 15+ years of corporate and transactional legal experience, including law firm training and in-house experience in roles of increasing scope and responsibility representing a public, global biotechnology company. Outstanding executive leadership and management skills in all aspects of a legal and business environment, with a proven ability to advise a successful and growing global company. Strong experience leading complex business development transactions, strategic partnership collaborations, and contract negotiations. Experience managing complex litigation and government investigations. A proven track record of successfully leading, managing, developing, and retaining outstanding legal talent. Experience managing a diverse set of external counsel. Prior in-house experience as a General Counsel a plus but not required.
