JOB PURPOSE


The Compliance Manager and Paralegal supports the Assistant General Counsel's ("AGC") oversight of organizational compliance, including contract administration, corporate governance, conflict of interest processes, tax compliance, healthcare and dental practice compliance, and other regulatory compliance matters.


The Compliance Manager and Paralegal serves as a key resource to Foundation staff by developing, implementing, and maintaining compliance processes that promote accountability, operational excellence, regulatory compliance, and alignment with the Foundation's Core Values. The position works collaboratively across departments to identify compliance risks, implement practical solutions, and support a culture of integrity, stewardship, and continuous improvement.



KEY RESPONSIBILITIES



  • Contract Administration and Procurement Compliance (40%)

  • Governance and Conflict of Interest Compliance (30%)

  • Tax and Regulatory Compliance (15%)

  • Enterprise Compliance Programs (15%)



REQUIRED QUALIFICATIONS



  • Bachelor's degree or equivalent combination of education and experience.

  • Minimum of seven (7) years of experience in compliance, contract administration, paralegal work, corporate governance, risk management, healthcare compliance, or a related field.

  • Demonstrated experience reviewing and administering contracts and organizational policies.

  • Experience managing complex projects and coordinating activities across multiple stakeholders.

  • Knowledge of nonprofit governance, corporate compliance, contract administration, or regulatory compliance.

  • Strong computer proficiency with Microsoft Office applications, including Word, Excel, PowerPoint, and Outlook.

  • Demonstrated analytical, organizational, and problem-solving skills.



PREFERRED QUALIFICATIONS



  • Bachelor's degree in business, healthcare administration, legal studies, management, or a related field.

  • Ten (10) or more years of relevant professional experience.

  • Experience in a nonprofit, healthcare, legal, compliance, or regulated environment.

  • Experience supporting boards of directors and governance processes.

  • Experience with contract lifecycle management systems, governance databases, or compliance management software.

  • Familiarity with nonprofit tax compliance, including Form 990 reporting requirements.

  • Knowledge of HIPAA, healthcare compliance requirements, and nonprofit regulatory obligations.

  • Experience implementing process improvements and enterprise compliance programs.

  • Proficiency in Box, Asana, and Co-Pilot or similar generative AI tools.
