The Opportunity

We're seeking a Corporate Associate (Emerging Companies & Venture Capital) with 4+ years of transactional experience to join one of our prestigious clients in their New York or Boston office. This role offers a chance to support an esteemed Venture Capital & Emerging Companies practice, drafting and negotiating key agreements, mentoring associates, and advising emerging companies on day-to-day operational matters.

What You'll Do

• Draft and Negotiate: Prepare venture capital investment agreements, including NVCA forms, and lead negotiations for critical deal terms.
• Mentor and Lead: Supervise and train associates in all aspects of venture capital financing.
• Advise Emerging Companies: Provide counsel on matters like board and stockholder communications, equity awards, and more.
• Collaborate for Success: Partner with team members to ensure seamless execution of projects in a hybrid work setting.

What You Bring to the Table

• Experience: A minimum of 4 years in venture capital and emerging company's practice.
• Education: JD or LLM from an ABA-accredited law school.
• Licensure: Admitted or eligible for admission in New York or Massachusetts.
• Technical Skills: Knowledge of Excel and capitalization tables.
• Mindset: Professional, detail-oriented, and collaborative, with excellent communication skills and the ability to balance competing priorities.

Your Skillset

• Venture Capital Expertise: In-depth understanding of NVCA forms and investment agreements.
• Leadership & Mentorship: Experience guiding and supporting junior associates.
• Strategic Advising: Familiarity with day-to-day operations and legal needs of emerging companies.
• Organizational Savvy: Ability to prioritize tasks and meet deadlines in a dynamic environment.
