Job Description
- Lead and support sophisticated mergers and acquisitions and other corporate transactions from initial structuring through closing.
- Draft and negotiate definitive agreements, ancillary transaction documents, and other complex corporate agreements.
- Coordinate due diligence, transaction timelines, closing processes, and day to day deal workflow.
- Advise on structural, governance, and corporate issues arising in M&A transactions.
- Handle credit agreements, equity financings, debt financings, and other corporate finance matters.
- Manage relationships and communicate directly with sophisticated business stakeholders and counterparties.
- Supervise and provide guidance to junior associates and paralegals.
- Collaborate with partners and attorneys across practice areas to deliver practical, business focused solutions.
- Contribute to matters involving venture capital, securities, joint ventures, entity structuring, and commercial agreements as experience allows.
Qualifications
- Active New York Bar license required.
- 4+ years of corporate M&A experience at a large or peer level law firm required.
- Significant experience in an active corporate transactional practice.
- Strong drafting and negotiation experience involving definitive and ancillary M&A documents.
- Experience independently managing transaction workflow and competing deadlines.
- Strong understanding of corporate structures and issues involved in M&A transactions.
- Excellent analytical, communication, organizational, and relationship management skills.
- Self starter who can take ownership of sophisticated matters.
- Experience with credit agreements and equity or debt financings strongly preferred.
- Venture capital, securities, joint ventures, entity structuring, LLC operating agreements, commercial contracts, distribution agreements, or franchising experience is a plus.
