This is a rapidly growing national company, a leader in their field and they need to hire as soon as possible a Corporate Attorney to join their staff. They need a highly skilled and detail-oriented Corporate Counsel. The successful candidate will play a vital role in safeguarding the organization's interests, ensuring legal compliance, and providing support to internal stakeholders. As a Corporate Counsel, you will collaborate closely with business development, finance, and operations teams, offering legal guidance throughout various aspects of our operations. Responsibilities will include:
- Prepare review, and negotiate a wide range of contracts, including but not limited to vendor agreements, licensing agreements, confidentiality agreements, sales contracts, purchase orders and service contracts, ensuring compliance with company policies and applicable laws.
- Review, draft and revise documents in connection with corporate transactions and general corporate and business matters including operating agreements, bylaws, policies and procedures and other business documents.
- Provide legal opinions and advice in connection with contract, general corporate, employment, operational and compliance matters.
- Provide assistance to the senior legal counsel and management team on various compliance and projects as assigned.
- Assist with obtaining guidance regarding day-to-day legal issues that may occur on large manufacturing projects.
- Perform other duties as assigned.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Licensed attorney in good standing with at least one state bar in the U.S.
- Minimum of 3-5 years of experience practicing contract law, preferably in the area of supply chain, procurement contracts or sales.
- In-depth knowledge of contract law, meticulous attention to detail in contract review, drafting, and management.
- Strong knowledge of corporate law, commercial transactions, including financing.
- Experience with international contracts.
- Excellent negotiation skills with the ability to resolve issues and challenges.
