Corporate Counsel

Work collaboratively with the finance, people, real estate, stock administration, and other cross-functional teams on M&A matters, strategic investments, and a variety of other matters Assist with the company's NYSE submissions and SEC filings, including 10-Ks, 10-Qs, risk factors, 8-Ks, proxy statements, and Section 16 reporting Support the preparation of board and committee meeting materials and minutes and provide general board and committee support Provide practical, actionable advice and strategic support to executives and employees on a variety of corporate and securities matters Advise on investor relations and corporate communications matters, including review of earnings announcements, earnings scripts, press releases, investor presentations, investor communications, public announcements, internal communications, and other materials Manage real estate transactions Manage and oversee the governance and administration of global corporate subsidiaries Monitor, track, and advise on potential impacts of new and proposed corporate and securities laws to ensure continued compliance JD from top tier law school with excellent academic credentials and California bar membership (or qualified to register as in house counsel) Minimum of 4-6 years of law firm and/or in-house legal experience Must have experience (i) leading and managing all facets of M&A transactions, (ii) advising management and stakeholders on transaction structures and risks, and (iii) partnering with external legal counsel as needed to optimize transaction execution Experience with SEC rules, regulations and compliance, including periodic reporting requirements, Regulation FD, and Regulation G, is a plus Be comfortable in a fast-paced environment and able to handle multiple matters simultaneously and to prioritize effectively Evaluate issues from legal and business perspectives with a practical, business-oriented approach to problem solving Strong project management skills Ability to develop strong working relationships and to work across functions and teams Excellent written, oral and negotiation communication skills
