We are seeking a talented and motivated Corporate Counsel to join our Legal team and support our expanding business operations. In this role, you’ll be a trusted legal partner and problem-solver across the organization.

Position
The Corporate Counsel will play a key role in supporting the company’s legal needs, with a primary focus on commercial contracts and corporate transactions. This position is ideal for an attorney with 1-3 years of experience in drafting, reviewing, and negotiating a wide range of agreements, and who has supported M&A and other corporate initiatives. The ideal candidate will be business-minded, collaborative, and eager to grow with a fast-paced organization.
Key Responsibilities
Contract Management
Draft, review, and negotiate a variety of commercial agreements, including vendor, customer, SaaS, licensing, NDAs, and service agreements.
Develop and maintain contract templates and playbooks.
Provide guidance to internal stakeholders on contract terms and risk mitigation.
Corporate Governance & Transactions
Support M&A activities, including due diligence, deal structuring, and post-closing integration.
Assist with corporate governance matters, including entity formation, board resolutions, and compliance filings.
Coordinate with external counsel on complex transactions and international matters.
Legal Risk & Compliance
Identify legal risks and propose practical solutions aligned with business objectives.
Monitor changes in laws and regulations affecting the company’s operations.
Support internal compliance initiatives and training programs.
Identify patterns and trends to recognize potential problems; appropriately escalate complex legal and factual issues and assist in their resolution.
Cross-Functional Collaboration
Partner with teams across the organization (e.g., Finance, HR, Sales, Procurement, Product) to provide legal support and ensure alignment with company policies in a timely and efficient manner.
Help build scalable legal processes and tools to support business growth.
Qualifications
J.D. from an accredited law school and admitted to practice law in Wisconsin.
Minimum 1-3 years of relevant legal experience, preferably with a mix of law firm and in-house experience.
Strong background in commercial contracts and corporate law, including M&A.
Excellent drafting, negotiation, and communication skills.
Ability to manage multiple priorities and work independently in a fast-paced environment.
Business-oriented mindset with a practical, solution-focused approach.
Additional Desired Qualifications
Experience in a technology, SaaS, or high-growth company environment.
Familiarity with property/casualty insurance, international contracts and cross-border transactions.
