About the Role
The Company is seeking a Corporate Counsel with a focus on Compliance and Due Diligence to join their dynamic team. The successful candidate will be responsible for reviewing campaign offering materials, legal and financial documents, and managing the due diligence process for companies raising capital on the platform. This role requires a licensed attorney with at least 1-2 years of experience in corporate transactional matters, particularly in the areas of securities offerings, M&A transactions, and basic corporate law. The ideal candidate will have a Juris Doctor from an ABA law school, a bar license in at least one state, and a strong understanding of corporate structure, securities, and formation.As part of the Compliance & Legal team, the Corporate Counsel will also be involved in supporting the company by providing education and training on relevant issues, assisting the sales team in identifying potential companies for capital raising, and continuously improving internal processes. The role demands a professional with superb organizational and tracking skills, great attention to detail, and the ability to manage multiple projects in a fast-paced environment. The candidate should be a team player, adaptable, and have outstanding communication skills. Experience in capital raising, crowdfunding, and working with startups is a strong preference, as is a desire to work in a fast-paced, frequently changing startup environment.
