The Corporate Paralegal is responsible for partnering and working with the attorneys to assist in preparing and organizing various legal documents while supporting an in-house legal team:
Job Duties and Responsibilities:
- Provide legal support for enterprise-wide legal issues and initiatives, including:
- Ownership of entity formation, entity management, and routine filings in all appropriate jurisdictions.
- Regulatory permitting for all marinas, including food and beverage licenses.
- Preparation of consents, resolutions, and approvals.
- Maintenance of Board minute books and records and other corporate housekeeping matters.
- REIT related entity compliance.
- Corporate signing authority.
- Handling paperwork required by various regulatory bodies.
- Prepare and draft legal correspondence, documents and forms.
- Manage legal billing and invoicing.
- Provide professional administrative legal support to in-house counsel and other business units.
- Interact directly with outside counsel and other third parties.
- Create and maintain a tracking system for corporate contracts and permits.
- Assist with service of process requirements and procedures.
- Assist with general corporate tax-related matters, including W-9s and state sales and use taxes.
- Assist with creating processes and procedures for legal operations.
- Assist with the identification, research, and management of relevant issues related to various compliance, corporate entity, REIT, and related matters.
- Assist with other special projects or tasks on an as-needed basis.
Qualifications
- High School Diploma (required)
- Bachelor’s Degree and/or Paralegal certification (preferred)
- 10+ years’ experience as a Paralegal (required)
- In-house experience in a corporate legal department (preferred)
- Self-starter, who is eager to learn and grow
- Interest in assessing, revamping and creating processes
- Strong verbal and written communication skills
- Ability to multi-task, work under pressure and meet required deadlines
- Ability to exercise sound judgement
- Strong attention to detail and organizational abilities
- Must be proficient in Microsoft Office
- Proficiency with Sharepoint a plus but not required
