Corporate Transactional Attorney

Avant Tech is seeking a highly motivated and experienced Corporate Transactional Attorney to join our dynamic legal team. This role will involve working closely with various corporate clients, providing legal expertise on a wide range of transactional matters.

Key Responsibilities:

• Draft, review, and negotiate a variety of contractual documents, including purchase agreements, shareholder agreements, and operating agreements.
• Advise clients on mergers, acquisitions, and divestitures, ensuring compliance with applicable laws and regulations.
• Conduct due diligence and assist in preparing legal opinions and memoranda.
• Assist in structuring and reorganizing corporate entities for optimal legal and tax efficiency.
• Stay current with legal trends and developments in corporate law to provide high-quality legal advice to clients.
• Collaborate with cross-functional teams to support business objectives and ensure favorable outcomes.

• Juris Doctor (JD) from an accredited law school.
• At least 4 to 7 years of experience in corporate transactional law, preferably in a large law firm setting.
• Proven expertise in drafting, reviewing, and negotiating complex transactions.
• Strong understanding of corporate governance, statutory and regulatory requirements.
• Strong research and analytical skills
• Active membership in a state bar association.
• Excellent analytical, research, and writing skills.
• Demonstrated ability to manage multiple projects and deadlines simultaneously.
• Strong interpersonal skills, with the ability to work efficiently in a collaborative environment.

Salary Range: $295,000 – $405,000 (based on experience)
