About the role

As we continue to launch new products and scale our offerings, we are looking for a Counsel, Commercial & Legal Operations to own Rothera’s third-party contracting and support the systems that run our legal function. You’ll sit inside a CFTC-regulated exchange and clearinghouse at the moment prediction markets are moving to core market infrastructure, so your counterparties will range from SaaS vendors to FCMs, market makers and data providers. If you’ve negotiated commercial agreements at pace and enjoy making legal work faster with CLM platforms and AI, this is your moment to grow as a lawyer inside a high-growth legal function.

What you’ll do

• Draft, review and negotiate third-party agreements, including vendor, SaaS, data, services and technology contracts.


• Support counterparty onboarding and amendments, including preparing and tracking execution of agreements.


• Own Rothera’s contract template library and playbooks, including NDAs and other standard agreements.


• Administer and help build out Rothera’s contract lifecycle management platform, including workflows, templates, clause libraries, approval routing, automation, integrations and reporting.


• Design and maintain AI-assisted contract review workflows, including prompts, playbooks and quality checks.


• Manage outside counsel on assigned matters, including scoping, budgets and invoice review.


• Advise business teams on contract terms, risk allocation, data use and confidentiality, and support corporate housekeeping as needed.

What you’ll bring

•  JD and active bar admission in good standing (NY or IL preferred)


• Approximately 5-7 years of commercial contracting experience at a law firm, in-house, or both


• Hands-on experience administering or building workflows in a contract lifecycle management platform (Ironclad or a comparable platform)


• Regular use of AI tools in contract review and drafting, with sound judgment about where they fail


• Comfort owning legal technology: evaluating tools, configuring them, and training business users


• Ability to manage a high volume of agreements independently and know when to escalate


• Curiosity and willingness to learn new areas of law, such as intellectual property, privacy and regulatory matters, as Rothera grows


• Interest in prediction markets, derivatives and how financial market structure is evolving. You don’t need to have worked at an exchange, but you should want to understand how one works


• Experience at a CFTC-regulated entity (DCM, DCO, FCM) is a plus


• Familiarity with AI-related terms in vendor agreements (data use, training restrictions, output ownership) is a plus

Benefits & Compensation

This position has a base salary of $165,000-$185,000 per year, plus participation in a discretionary annual incentive bonus program.
