Job Summary:
onsemi's Corporate Development and Investor Relations team helps shape company's strategy and investor perception.
The team is responsible for shaping and driving company's M&A strategy in partnership with executive leadership, business units, and other functional groups. The team sources, negotiates and executes strategic transactions to meet company's strategic objectives and drive shareholder value. The team has a highly successful M&A track record, and notable transactions include acquisitions of GT Advanced Technologies, Fairchild Semiconductor and Aptina Imaging, among others.
On investor relations front, the team drives a robust investor relations program based on deep analytics and strong investor engagement. Over last few years, the team has meaningfully improved investor perception of the company and drove significant share price appreciation.
The Director, Corporate Development and Investor Relations will be a key contributor on the team, and help drive various corporate development and investor relations activities. The position reports to Vice President of Corporate Development and Investor Relations, and is based in Scottsdale, Arizona.
Responsibilities Manage/lead various M&A transactions by interacting with various functional/business teams Manage a rigorous due diligence process involving several functional groups and external partners Develop presentation materials for board, executives, and investors Manage investor interactions and events Develop quarterly earnings release material Partner with business teams to identify product/technology gaps and develop strategy to address business need Develop and maintain detailed financial models for industry, peers, and macroeconomic analysis Actively track and research industry to identify opportunities and trends
Responsibilities
Responsibilities • Providing legal support for corporate transactional activities, including domestic and international merger, acquisition, divestiture, and joint venture transactions. This includes advising on legal risks, coordinating due diligence reviews, collaborating with cross-functional partners and transaction teams, drafting, and negotiating deal documentation and assisting with integration matters. • Assisting on general corporate governance matters and securities compliance. • Serving as a strategic partner to the company's treasury, finance, and tax departments, including drafting and negotiating agreements, conducting legal and functional due diligence, preparing amendments, waivers, consents, and assisting in other matters related to the company's credit facility. • Providing legal advice and counsel related to the management of the company's domestic and international subsidiaries, including matters such as dissolutions, liquidations, mergers, name changes, annual maintenance, and related matters.
Qualifications
Requirements: 5 year experience in equity research/investment banking/corporate development/management consulting with focus on technology/semiconductor industry Bachelor's degree in business, finance, or economics; MBA or similar graduate degree Experience in semiconductor or technology industry Strong written & verbal communications skills Strong analytical, financial modeling, and valuation skills Solid work ethic and enthusiastic attitude Need to be a team player and have a collaborative mindset Strong presence and confidence Occasional travel
